Job Title: Commercial Contracts Manager (Remote)Job Overview:**5-Month Contract Position (W-2) with High Potential for Conversion to Permanent Role**Remote, Onsite Optional if local to the Cary, NC USA office but not required.We are looking for a Contract Manager to support our Smart infrastructure (SI BSW) Brightly Software Business Unit.You will draft and review various commercial contracts and work collaboratively to ensure compliance and mitigate risk.This position offers the flexibility of remote work from home, with the expectation of working within the Eastern ESTEDT time zone during regular business hours.Impacts:Needs to consider processes and results, generated in other workflows and disciplines, implies conditions and environments, and values significance to contribute effectively to team results.Needs experienced level of analytical and distinctive conceptual skills to solve issues given, which may differ in size and nature.Key Responsibilities:"Experienced Professional"Contract Drafting and Review:Draft, review, negotiate, and finalize both routine and non-routine commercial contractual documents with efficiency and accuracy.Assess complex solicitations, identify potential risks and regulatory considerations, and propose appropriate mitigation strategies.Contract Analysis and Compliance:Evaluate and analyze terms, conditions, and legal requirements within proposals, bids, and contract modifications.Ensure compliance with corporate policies and regulations, providing guidance and support to branch offices and management.Risk Assessment and Recommendations:Identify risk analysis factors to provide insightful recommendations on matters pertaining to contract terms and conditions. Collaborate with cross-functional teams to develop responses and propose alternative terms or language as needed.Proposal Management: Organize, manage, and prioritize multiple proposal or contract negotiations efforts concurrently.Qualifications:Bachelor's degree from an accredited university.3-5 years of reviewing cloud services contracts to include: drafting of cloud subscription services contract addenda and contract modifications, industry regulations, standards, and best practices.3-5 years of experience in negotiating and modifying the following contract topics: Indemnification, Limits of Liability, Consequential Damages and Intellectual PropertyTrack record of effectively incorporating risk-mitigating clauses into contracts or by addenda to enhance operational and legal outcomes.Familiarity with data privacy, data governance, government policies and regulations, and applicable laws governing procurement.Management and review of subcontractor agreements and partner relationships.
