The opportunity We have a unique opportunity to join our impressive and highly regarded Sydney tax team working primarily with Partner, Nima Sedaghat. You will work on an interesting mix of matters, including: Advising as to the taxation consequences of significant M&A transactions, including various forms of management incentive plans; Structuring and restructuring of corporate groups and in connection with M&A activity; Advising on the taxation aspects of debt and equity capital raisings; Establishment of various investment fund and funds management structures (both equity and debt) across a variety of sectors (private equity, venture capital, property); Advising on start-up tax concessions and VC investments; Tax planning and bespoke taxation advice; and Tax disputes with the Commonwealth Commissioner of Taxation and state revenue authorities at all stages throughout the dispute lifecycle (private rulings, voluntary disclosures, reviews, audits, objections and litigation). This is an opportunity to work on top tier matters with our prominent client base which includes multi-national corporations, private business (small to large), start-ups, fund and asset managers, Australian and foreign sponsors, investors, and high net worth individuals. Accountabilities Tax planning and advisory on complex legal problems - including where necessary, obtaining certainty from the relevant revenue authority in the form of early engagement advice and applications for private rulings. Managing voluntary disclosures, reviews, audits, objections and litigation (including analysis of the underlying complex problems in contention). Working closely with lawyers across our firm, as well as counsel in tax dispute matters. To succeed in this role, ideally you will have 4-8+ years post admission experience. Strategic and critical thinking ability. Strong leadership skills to assist in developing our junior cohort. Experience in M&A transactions and financing arrangements. Litigation experience is desirable (including as it relates to briefing and working with counsel, and communicating with Tribunals/Courts). Experience interfacing with partners & clients.
