This 12-month fixed-term role offers the opportunity to lead and deliver strategic governance initiatives at the heart of a purpose-driven, B Corp-certified financial institution.Youll contribute to the implementation of the Member Outcomes and Risk Excellence (MORE) program, enhancing governance, accountability, and risk culture. Your portfolio will include uplifting governance frameworks, leading regulatory filings, supporting the Board and Committees, and delivering key initiatives such as the Financial Accountability Regime, whistleblower program, and Modern Slavery Statement.This mutual operates under a profit-for-purpose model, serving essential sectors including education, emergency services, and healthcare. Recognised as one of the Worlds Most Ethical Companies for 10 consecutive years, this organisation offers a values-led culture where corporate governance aligns with social purpose.Key Responsibilities:Lead activities to uplift governance and risk maturityEnhance governance frameworks, policies, and compliance practicesSupport Board and Committee operations, including papers, reviews, and regulatory filingsMaintain a forward governance calendar aligned to APRA and ASIC requirementsDeliver accountability documentation and support CPS 511 implementationOversee ethical obligations including the whistleblower program and Modern Slavery StatementCoordinate preparation and execution of the Annual General MeetingDeliver governance and whistleblower training across leadership groupsCultivate strong working relationships with internal stakeholders and regulatorsRequirements:You are a detail-oriented governance professional with a passion for ethical leadership and regulatory integrity. You bring strong stakeholder engagement skills, thrive in values-led environments, and are driven to make a meaningful impact through sound corporate governance.57+ years experience in governance, legal, or company secretarial roles (financial services preferred)Deep understanding of governance principles, Board/committee operations, and complianceStrong working knowledge of the Corporations Act, APRA/ASIC standards, and CPS 511Experience with Board documentation, corporate registers, and regulatory reportingFamiliarity with the Financial Accountability Regime and Modern Slavery obligationsExcellent organisational and written communication skillsDegree qualified in Law, Governance, or related discipline; GIA or AICD qualifications desirableExperience in a mutual or member-based organisation is a plusHybrid working model: 34 days in-office, Homebush locationGreenfields is a specialist In-House Legal, Company Secretary and Corporate Governance Executive Search & Recruitment firm.
