As Company Secretary and member of the Executive Leadership Team, the role will report directly into the Chair and Board.This highly visible and influential role offers the opportunity to shape governance within an organisation driven by integrity, transparency, and member outcomes.The role is Sydney, CBD-based and offers hybrid working arrangements with occasional travel to onsite mining locations.Purpose of the Position:The primary purpose of the Company Secretary role is to support the Board, Committees, Directors and Officers to discharge their duties and responsibilities under the Corporations Act 2001, the Coal Industry Act 2001 (NSW), other relevant legislation. The position is responsible for the execution of key governance requirements as well as providing best practice, effective, and timely support to the Chair and Non-Executive Directors of the Board.ResponsibilitiesGood Governance:Support the Board in accordance with the Corporations Act, Coal Industry Act, Constitutions, and Shareholders Agreement, while aligning with best practices in governance principlesMonitor Board and Director compliance with Charter responsibilities and relevant policies and proceduresManage Fit and Proper process and General Insurance related declarations for all Responsible PersonsDraft reports and submissions for Boards and Committees on governance-related matters as requiredDraft and coordinate correspondence with the Minister''s and Resources Regulators office on matters required under the Coal Industry Act 2001.Effective Board & Committee Meetings:Facilitate effective governance and decision making through efficient meeting coordination and preparationManage the governance calendar in consultation with the CEO, preparing Board and Committee meetings agendas and papersAccurately capture Board and Committee discussions and resolutionsCoordinate issue and review of draft minutes and matters arisingCoordinate actioning of matters arising/issues in accordance with registerProvide coaching and guidance to ensure submission of timely, well written board papers.Effective Records Maintenance:Maintain accurate and complete records in a structured and secure mannerMaintain Annual Board & Committee governance calendar and Register of DecisionsMaintain Board related registers including Conflicts of Interest Register, Director Register, and Board Training RegisterMaintain currency of Board Policies and Charters in accordance with the Governance Calendar.Director Support:Provide support to Directors coordinating Director Induction Program maintenance and deliveryIn conjunction with Chair develop and coordinate delivery of annual Board Training & Professional Development Program.Stakeholder Management:Developing and maintaining effective working relationships with the Board, Shareholders and Management as well as internal clients and key external stakeholdersEnhancing external and internal relations through displaying professionalism in all interactions driving a culture of providing customer service that exceeds our customers'' expectations.Health & Safety Trust:To support the Health & Safety Trust in the performance of company secretary and governance duties and responsibilities.Leadership:Contribute to an effective and productive team environment, upholding company values.ExperienceThe ideal candidate will be GIA or AICD qualified with a minimum of 8 years Company Secretary experience in a highly regulated organisationAPRA regulated experience is essential as is the ability to operate to ASX listed, and/or highly regulated governance standardsExperience in industry bodies, statutory regulated and membership-based associations, as well as financial services and resources, is advantageousStrong interpersonal communication and relational skills; with a demonstrated ability to function in a collaborative environmentGood judgement, flexibility and patience; discretion in dealing with confidential and sensitive mattersHighly detail oriented with a meticulous approach to follow through, including systems for tracking follow up.Greenfields Executive Recruitment and Search are retained on this search assignment.
