1 day ago Be among the first 25 applicantsGet AI-powered advice on this job and more exclusive features.The HMC Group has extensive aviation, tourism, and accommodation operations in some of the most iconic regions of Australia and is seeking to appoint General Counsel and Company Secretary.About the role:Reporting directly to the Managing Director this is a rare opportunity to work in a privately owned, predominantly WA owned business in the aviation and tourism industries.As a trusted advisor you will collaborate with key internal stakeholders to provide high-level legal and commercial advice. You will leverage your expertise to enhance our legal function and manage risk.Key duties and responsibilities will include, but not limited to:Legal and Corporate GovernanceOversee and lead the legal teams management and performance.Provide commercially focused legal advice on a diverse range of matters including contracts and tenders, property (leasing and acquisitions), employment relations, aviation, intellectual property (including trademarks and copyright), and privacy law.Brief external legal counsel as required.Draft, review, and negotiate commercial agreements, non-disclosure agreements and deeds.Manage disputes and litigations.Proactively seek ways to improve internal operational, risk and compliance processes.Review and monitor leasing requirements for all company equipment, aircraft, vehicles, real estate.Proactively develop and maintain risk management controls and contingency plans.Provide advice to the Managing Director and Board on governance matters and guidance on Officers and Directors duties and responsibilities.Organise agendas and papers for Board and Committee meetings.
