About the Role We''re looking for a Senior Legal Counsel to join Domain''s Legal Team; reporting directly to our Chief Legal Officer. The purpose of the role is to act as a legal business partner for the Domain Group on a wide range of corporate matters including corporate M&A, corporate governance matters and regulatory legal compliance. As Domain continues to grow within the broader CoStar Group, you''ll partner closely with senior leaders and act as a trusted adviser on both day-to-day matters and complex strategic issues. What Youll Do Play a key role in Domain''s crossfunctional deal team working on strategic corporate M&A projects. Identify legal risks in corporate proposals or concepts and work closely with the relevant stakeholders to structure solutions that enable business goals to be achieved in a way that is legally compliant, efficient and optimal for the Company. Advise the business on the interpretation of contractual commitments and statutory obligations including previous Sale and Purchase Agreements, the Corporations Act, Competition and Consumer Act and the Privacy Act. Support daytoday company secretarial matters of the Australian and NZ subsidiary group of companies, including preparation of resolutions, periodic filings and corporate structure entity management. Partner with internal global stakeholders on corporate governance matters, supporting on Australian aspects of global reporting (e.g. AntiModern Slavery and ESG reporting) and global policies. Provide additional support to the Commercial Legal Team from time to time with general commercial legal matters such as reviewing and negotiating contracts, managing disputes, protecting IP and entering into licensing and sponsorship agreements. Act as an ambassador for the Legal Team within the broader Domain business. What Youll Bring Experience at a reputable law firm working in a Corporate M&A Team with a primary focus on nonpublic M&A. General commercial experience advising on commercial contracts; prior inhouse experience (as a permanent team member or on a client secondment) would be beneficial, although not essential. Prior experience working in data, technology and digital businesses would be well regarded. Technical Skill Set Give technically excellent legal advice across M&A, corporate governance, regulatory and commercial legal matters. Draft and negotiate core M&A and governance documents under lighttouch senior supervision, including shareholders agreements, share purchase agreements, subscription agreements, share transfer forms, board resolutions and related documents. Identify and assess risks, and provide advice and solutions which may include suggesting alternative ways forward. Strong drafting and communication skills. Stakeholder management and project management skills to coordinate the various elements of an M&A deal and the ability to break down complex concepts for a nonlegal audience. Strong attention to detail and a desire to get to the bottom of complex issues. Business Skill Set Strong commercial acumen and a businessfocused mind, bringing a pragmatic and strategic approach to legal issues. Strong communicator and comfortable picking up new and varied subject matters, working on whatever tasks need doing from time to time. Willingness to take initiative, connect with relevant business stakeholders and run with matters, looping in and reporting back to the Domain Chief Legal Officer where required. Enthusiastic about collaborating with others. Demonstrate strong horizontal leadership and influencing skills. Qualifications Law degree (LLB or JD) and 6-10 years of postqualification experience (PQE), including a period working in a Corporate M&A team.
