The institution is memberowned and guided by the mission "our members are our mission" with a valuesled culture that prioritizes members, trust, ethical conduct and excellence.The OpportunityThis position leads the Legal & Company Secretariat functions, managing the Assistant Company Secretary and providing direct support to the CEO, Board Chair and Directors. It combines strategic governance leadership with handson legal oversight in a highly regulated, APRAsupervised environment. Hybrid, flexible working arrangements are offered, with three days based in prestigious CBD offices.Role ResponsibilitiesManage the preparation, conduct, and outcomes of all Board and Committee meetings, including agendas, minutes, and resolution tracking.Provide governance advice and ensure compliance with the Corporations Act, Banking Act, Prudential Standards and other regulatory requirements.Maintain clear communication between the Board, Executive and key stakeholders.Coordinate General Meetings and ensure statutory filings are accurate and timely.Promote bestpractice governance frameworks that align with the organisation''s purpose and regulatory expectations.Manage relationships with external counsel and law firms, including conducting panel reviews of service providers, overseeing engagement quality, and briefing out legal and regulatory work.Provide strategic and pragmatic legal advice across all areas of the business, including corporate, regulatory and commercial matters.Identify, assess and mitigate legal risks, and ensure compliance with changing legislation and prudential standards.Negotiate and manage commercial contracts, external legal providers and insurance portfolios.Advise on corporate structure, product compliance, privacy and intellectual property issues.Support business initiatives and growth strategies through proactive legal and risk management.Skills and ExperienceLaw degree with an unrestricted practising certificate (essential).Minimum of 10 years'' senior legal and governance experience, ideally within an APRAregulated or financial services organisation.Ability to operate as part of a Senior Leadership or Executive Leadership Team.Strategic and commercial mindset, with the ability to balance compliance, risk and business outcomes.Greenfields Executive Recruitment & Search is a specialist InHouse Legal, Company Secretary and Corporate Governance Executive Search & Recruitment firm.
