About the Company: Our client, a well-established law firm located in the heart of downtown Toronto is seeking a Senior Corporate Law Clerk to join their team!The Senior Corporate Law Clerk will work closely with lawyers and clients on a wide range of corporate matters. This role is ideal for a self-motivated, detail-oriented professional who thrives in a fast-paced legal environment and has extensive experience in corporate and commercial transactions.Responsibilities:Prepare and file documentation related to incorporations, amendments, dissolutions, continuances, amalgamations, and corporate reorganizations (both federal and provincial)Maintain and update corporate minute books and corporate recordsConduct due diligence searches and analyze resultsDraft and organize closing agendas, closing documents, resolutions, share certificates, and related corporate materialsAssist with M&A transactions including preparing share/asset purchase documentation and attending closingsPrepare documents for extra-provincial registrations and business name registrationsLiaise with clients, lawyers, government offices, and third-party service providersEnsure compliance with corporate filing deadlines and regulatory requirementsUse corporate management software to maintain records and generate reportsQualifications:Law Clerk Diploma/Certificate from a recognized institutionMinimum of 8 years experience as a Corporate Law Clerk in a law firm or in-house legal departmentStrong knowledge of the OBCA, CBCA, and other applicable legislationProficient in Microsoft Office Suite and corporate software Excellent drafting, analytical, and communication skillsAbility to handle multiple priorities and work well independently and within a teamExceptional organizational skills and attention to detailCompensation:This role offers a competitive salary commensurate with experience, a comprehensive benefits package, hybrid remote schedule (3 days in office, 2 days remote), and an RRSP matching program.
