OverviewOrganization & Position SummaryWe are currently seeking a full-time Senior Corporate Paralegal to join our Corporate Services Department in our Vancouver office.Role and ResponsibilitiesAssist lawyers with drafting for tax driven transactions including the preparation of legal transaction documents for section 85 rollovers and section 86/51 exchanges, preparation of closing agendas and document listsDraft detailed reporting letters on completion of transactions and closing booksPrepare corporate documents for such transactions as incorporations and organization of BC, Federal and Society entities, amalgamations, alterations, share allotments, share transfers, redemptions, dividends, name changes, director/officer changes, change of registered and records office and assisting in production of other corporate transactions as applicablePrepare filings creation and organization documents for limited partnershipsConduct name BC reservations with BC Registry and Online ServicesConduct Nuans reservationsMaintain MinuteBox database and precedents system including creating new cards for incoming record booksManage Smartsheet databases for various projectsRecord book reviews and drafting deficiency memosScan records and establishing virtual record booksConduct BC Online, Corporations Canada and Land Title searchesDraft routine correspondence with clients, lawyers and department staffPerform conflict searchesAssist with audit enquiry responsesSend minute books out for registered and records office changesAnnual Maintenance and BC Federal Societies filingsPrepare BC and Federal Transparency ReportsWillingness to research and, if necessary, carry out corporate filings in other Canadian provincesLiaise with corporate services paralegals with affiliated LAW law firmsMentor and guide junior staff on best practices, file management, and interaction with lawyers and clientsProvide quality control over corporate records, annual maintenance, and statutory filingsMonitor corporate legislative changes and policies and procedures of British Columbia Registrar of CompaniesAssist with developing and updating precedents and procedures to enhance efficiency across the teamOther Tasks as requiredQualificationsMinimum 5+ years experience as a corporate paralegal, with significant experience leading transactionsProven ability to work with autonomy, manage competing deadlines, and resolve issues independentlyStrong working knowledge of BC and federal corporate statutes, registries, and filing systemsExperienced mentoring or supervising junior staff an assetExperience with corporate filing requirements in Alberta or Ontario an assetStrong communication and organizational skills, with the ability to collaborate effectively with lawyers, clients, and colleaguesBenefitsFitness facility on-site with Peloton bikes and treadmillsExtended health and dental coverage including visionRRSP Matching ProgramEmployee & Family Assistance ProgramPaid sick and personal leave daysLong-term disability insuranceProfessional Development AllowanceSocial Office CultureLife insurancePaid time offSalaryThe salary range for this position is $85,000 to $125,000 annually; the base pay offered may vary depending on job-related knowledge, skills, experience, and internal and market equity.How to applyInterested applicants should email a resume and cover letter to Claudia Mendoza, Director of Operations and HR at .
