We are seeking an accomplished, business minded Vice President, Legal to provide strategic legal leadership and hands-on counsel in support of the companys continued growth. Based in our Richmond, British Columbia office, this senior inhouse role will oversee legal matters related to franchise operations, commercial real estate, contracts, corporate administration, governance, and risk management. The ideal candidate combines deep legal expertise with a practical, solutions-oriented mindset, acting as a trusted advisor to executive leadership to enable confident, compliant, and informed decisions in a fast-paced, multi-jurisdictional environment. Key Responsibilities Include: Franchise LawLead drafting, review, and negotiation of Franchise Disclosure Documents and franchise agreementsEnsure compliance with applicable federal, provincial, and state franchise laws and regulationsSupport franchise development and operations on relationships, renewals, and complianceCommercial Real EstateOversee and negotiate commercial leases, renewals, subleases, and related transactionsAdvise on property acquisitions, site development, and landlord/tenant mattersPartner with external counsel and brokers to drive timely closingsContracts & CommercialDraft, review, and negotiate vendor, supplier, licensing, and service agreementsBuild and maintain standardized contract templates and processesProvide clear guidance on contract risk, performance, interpretation, and enforcementCorporate Administration & GovernanceDraft and review bylaws, resolutions, and minutes; manage legal entity structures and minute booksAlign company policies with current laws and governance best practicesSupport audits, investigations, and risk mitigation initiativesLitigation & Dispute ResolutionManage disputes, regulatory matters, and external counsel; optimize legal budgetsRepresent the company before courts, tribunals, and administrative bodies as neededPrepare pleadings, affidavits, briefs, and filings; research and analyze relevant lawExecutive & Cross Functional LeadershipPartner with Finance, Human Resources, Operations, and executive leadership to deliver proactive legal adviceMentor internal stakeholders and elevate legal acumen across the organizationWhat Were Looking For:This role requires a senior legal leader who is both strategically minded and comfortable operating hands on in a complex, multijurisdictional environment.Member in good standing of the Law Society of British Columbia and the Canadian Bar Association 7-10 years of progressive legal experience, including franchise law, commercial real estate, and contract negotiation Strong command of statutes, case law, regulatory frameworks, and legal documentation across jurisdictions Proven ability to balance legal risk with practical business solutions and exercise sound, independent judgment Exceptional written, verbal, and presentation skills; able to advise and influence senior leaders High professionalism, discretion, and ethical integrity; experience with sensitive and confidential matters Strong analytical, research, and problemsolving skills in a fastpaced environment Effective collaboration skills with internal teams and external advisors; experience managing outside counsel Familiarity with multiunit or crossborder franchise systems; exposure to M&A or restructuring preferred Experience in hospitality, retail, or restaurant environments is an assetWork Environment: This is not a remote role; regular inoffice presence in Richmond, BC is requiredFastpaced, deadlinedriven environment; occasional travel and extended hours may be requiredAbility to attend and conduct presentations, hearings, and crossfunctional meetingsIf youre ready to provide strategic legal leadership within a collaborative, peoplefirst organization, we invite you to Apply Now.
