Your Impact OpenText is seeking a commercial Senior Legal Counsel to join our inhouse legal team performing commercial transactional work for an established but growing line of business. This diverse role requires negotiating and drafting a wide variety of commercial technology agreementsincluding cloud services agreements, software licenses, and professional servicesto support Americasregion sales activity. The role also serves as a trusted legal adviser, working with crossfunctional groups, researching novel product offerings, and handling escalations. Key responsibilities include performing analysis and providing guidance on company transactions and new gotomarket products, evaluating risk, updating templates, creating and delivering training, and managing projects to benefit the Legal team and department. What The Role Offers Working effectively and pragmatically in a fastpaced environment Managing multiple responsibilities Understanding the complexities of a multifaceted business Reviewing and negotiating a wide variety of commercial agreements, with extra credit for software & SaaS Communicating complex matters clearly and solving problems practically Building positive working relationships with teammates, subject matter experts, internal clients, and customers Providing highquality, practical support to business Working with systems and processes Triage and prioritization What You Need To Succeed Interest in learning new technologies and business models; vision to create new templates and streamline processes; willingness to make recommendations and participate in the decisionmaking process. Strong experience working in a legal department or a law firm handling commercial matters. 6+ years previous experience conducting contract negotiations, preferably concerning technology. Enthusiastic, hardworking, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleagues. Experience doing business with regulated industries, and understanding or interest in data privacy/data security a plus. Solid hands on experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/cloudbased product agreements, professional services contracts, and maintenance and support agreements. Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions. Background in contract support for a variety of business functions including sales, marketing, engineering and other internal clients. Ability to advise management on risks across the business and strategies for mitigation. Good judgment, integrity, and attention to detail. Think creatively. Act professionally.
