Position Summary Reporting to our General Counsel, this individual will provide legal support and advice in areas that are critical to the success of every aspect of Miovision, including regulatory compliance, customer and supplier contracts, employment, merger & acquisition oversight, intellectual property and other general legal matters. As Associate General Counsel, you will apply your knowledge and experience with regard to a wide range of scenarios to provide the best advice possible that allows Miovisions business to stay agile and competitive. Key Duties & Responsibilities Drafting, reviewing and negotiating commercial agreements to ensure compliance with Miovisions policies and risk tolerances, including sale agreements for hardware, software, SaaS and services; RFPs/proposals; NDAs; MOUs; LOIs; term sheets; distribution agreements; technology licensing agreements; OEM agreements; purchasing agreements; data protection agreements; partner agreements; commercial leases; and credit facilities and related security agreements. Protecting Miovisions intellectual property rights and confidential information. Assisting with various matters and transactions including equity financing rounds and M&A. Meeting, communicating and collaborating effectively and efficiently with internal clients to ensure understanding of the scope of work and key issues related to commercial transactions, new product introductions and potential new business relationships, and supporting clients to timely meet deadlines. Legal team projects, including developing, implementing, and enhancing templates, playbooks and best practice guides and internal processes, tools and systems that improve transaction velocity without materially increasing risk. Keeping abreast of applicable laws, regulations and industry guidance, evaluating their impact on Miovisions business, communicating same internally, and providing training to Miovision employees where applicable. Experience Required 1015 years of experience as a trusted legal advisor, drafter and negotiator of international business transactions, preferably in a hightech sales environment or national law firm. Indepth knowledge of commercial agreements and business law related to hardware, software and SaaS. Broad understanding of the law and legal issues related to commercial transactions, government procurement, corporate law, financing, securities, M&A, intellectual property, privacy & other regulatory law. Motivated selfstarter with a strong work ethic, high level of integrity and accuracy, the ability to take initiative, and ownership of their tasks in an accountable, wellthoughtout and decisive manner. Excellent negotiation and drafting skills. Superior problemsolving and conflict resolution skills with an ability to assess issues and problems from nonlegal perspectives and generate creative solutions. Excellent written and verbal communication skills, interpersonal skills and leadership skills with a demonstrated ability to maintain strong working relationships with internal clients and external contacts. Ability to work both collaboratively as a team player and independently as an individual contributor with sound judgment, a high level of integrity, and professionalism. Exceptional organization, time management and task prioritization skills, and an ability to successfully balance competing priorities and meet all deadlines while managing and prioritizing multiple simultaneous projects, priorities and tasks under pressure and in a fastpaced environment. Desire to continue to learn, grow and develop, coupled with the ability to be flexible, resilient and adapt quickly to change. Experience in communicating and working with external counsel in an efficient and effective manner with a view to minimizing costs. Education Required Lawyer in good standing with any provincial bar association of Canada or State bar association in the USA. Undergraduate law degree from an accredited law school.
