Black Diamond Group Limited (the ''Company'') is seeking a highly organized and proactive Executive/Legal Assistant to support the General Manager, Legal of the Company and the Company''s internal legal team. The successful candidate will play a critical role in supporting the legal and governance functions of the organization, including public disclosure and securities filings, insurance portfolio administration, intellectual property management, and the day-to-day operations of the Company''s legal department. This role requires exceptional attention to detail, strong judgment, and the ability to manage sensitive and confidential information in a fast-paced, regulated environment. Duties and Responsibilities Provide comprehensive administrative and operational support to the GM, Legal, including calendar management, meeting coordination, document preparation, expense reporting and internal and external correspondence Act as a trusted liaison between the GM, Legal and internal stakeholders, senior leadership of the Company and external advisors Assist in maintaining and improving legal department processes, templates, records and knowledge management systems Coordinate internal and external review workflows for continuous disclosure documents, including version control, approvals and filing timelines Support the GM, Legal in managing disclosure calendars and compliance with Toronto Stock Exchange (''TSX'') and applicable Canadian securities law requirements Assist with System for Electronic Disclosure by Insiders (''SEDI'') filings and maintain accurate records of filed disclosure documents Assist with annual corporate registry filing requirements of the Company and its subsidiaries Assist in the administration of the Company''s corporate insurance portfolio, including D&O, CGL, cyber, EPL and other insurance policies Coordinate annual insurance renewals, including gathering underwriting information, liaising with brokers and insurers and tracking renewal timelines Coordinate insurance related audits (e.g. WCB) Maintain insurance policy records, schedules and certificates of insurance Support insurance claims management by tracking claims, coordinating documentation, and liaising with brokers, insurers and internal stakeholders Assist with tracking and reporting on litigation matters Assist with provincial small claims court matters, including preparing and filing pleadings and supporting documents, coordinating service of process, maintaining litigation calendars and court deadlines, liaising with court registries and external counsel (where applicable), and tracking the status and outcomes of small claims proceedings under the supervision of the Company''s in-house legal counsel Work with outside counsel and internal business teams to support the management of the Company''s intellectual property portfolio Assist with the administration of contracts and legal agreements, including tracking execution, renewals and key dates Utilize SignNow for electronic execution of various documents to arrange for proper internal authority for execution of such documents has been received, facilitate tracking of execution and ensure they are completed as necessary Coordinate with outside counsel on billing, engagement letters and matter management Provide support on special projects and transactions as required by the GM, Legal Book travel for the GM, Legal using the Company''s designated travel provider and in compliance with the Company''s travel policy Complete Purchase Orders for expenses as assigned, corporate and personal expense reports and tracking expenditures compared to budget and preparing related reports Support the Company''s Credit Facility Compliance Checklists, as required Manage account summaries and prepare instruction letters for the Company''s trustee regarding incentive award plans and coordinate with the Company''s transfer agent, as required Monitor and distribute internal share trading blackout notifications Contribute to the planning of internal and external events of the Company, as required Provide back-up coverage and support to other Executive Assistants of the Company, on an as needed basis Perform other duties consistent with the role and the needs of the Company''s legal department Qualifications and Experience Post-secondary education in legal administration, paralegal studies, business administration or a related field Minimum 5+ years of experience in a legal assistant or similar role, preferably at a public company or law firm Experience supporting a senior legal executive strongly preferred Familiarity with Canadian securities law disclosure requirements, TSX rules and policies and SEDI filings is a significant asset Experience administering corporate insurance programs and coordinating with brokers and insurers is highly desirable Exposure to intellectual property administration and working with external IP legal counsel is a significant asset Skills and Competencies Exceptional organizational skills and attention to detail, with the ability to manage multiple priorities and deadlines High level of discretion and professionalism in handling confidential and sensitive information Strong written and verbal communication skills Proficiency with Microsoft Office (i.e. Word, Excel, PowerPoint, Outlook, etc.) Familiarity with electronic execution software (e.g. DocuSign or SignNow) and SAP/NetSuite is a significant asset Ability to work independently, exercise sound judgment and anticipate the needs of the GM, Legal and the Company''s legal department Comfortable working in a fast-paced, publicly traded company
