We are currently looking for a Paralegal to join our Corporate department, supporting both Partner and Associate practices, and leading transactional work. Duties and Responsibilities Support complex corporate and commercial transactions, including mergers, acquisitions, divestitures, joint ventures, financings, and strategic investments; Draft, review, and manage transactional documents, including closing checklists and ancillary agreements; Coordinate and manage transaction closings, including signature processes, conditions precedent, funds flow support, and post-closing deliverables; Assist with entity formation, restructuring, and dissolution for corporations; Interface with internal business teams, outside counsel, and third-party service providers to ensure transactions are executed efficiently and on schedule; Manage regulatory and filing requirements, including filings related to transactional matters; Maintain and update corporate records and databases to ensure accuracy and compliance; Preparation of corporate documents relating to Alberta, Federal and extra-provincial corporations, limited partnerships and societies/not-for-profits, including incorporations/registrations, corporate reorganizations, share/asset transactions, amendments, director and officer changes, name changes, amalgamations, continuations, dissolutions and revivals; Minute book reviews, including reporting and ratifying resolutions; Respond to client inquiries and Partner needs expertly and efficiently; and Other duties, as required. Knowledge, Qualities & Experience Required Minimum of 7 years'' experience in a Corporate Paralegal role or similar role; Must have CORES II accreditation, CORES III preferred; Must be experienced in transactional work and project management; High degree of proficiency with ALF, Aderant and MS Office applications; Experience with corporate registry filings; Strong understanding of the Business Corporations Act (Alberta), and the Canada Business Corporations Act ; Familiarity with the Alberta Societies Act an asset; Strong technical aptitude; High degree of accuracy and exceptional attention to detail; Excellent organizational and time-management skills required to prioritize a high volume of tasks and competing priorities; Excellent oral and written communication and interpersonal skills; and Ability to multi-task and manage multiple files.
