THE OPPORTUNITY Our national law firm client is seeking an experienced Securities Paralegal to join their Securities and Capital Markets practice group. This role offers the opportunity to work on complex and high-profile transactions for public and private issuers across Canada, in a collaborative, fast-paced, and client-focused environment. The successful candidate will support lawyers on a broad range of securities matters, including IPOs, public company compliance, financings, and exchange-related transactions involving the TSX Venture Exchange and Canadian Securities Exchange. KEY RESPONSIBILITIES Prepare, coordinate, and file TSXV and CSE IPO documentation Assist with CPC prospectus filings, short form prospectuses, and shelf prospectuses Manage CSE continuous disclosure filings and ongoing public issuer compliance Support TSXV acquisition and disposition transactions, including regulatory and exchange submissions Coordinate brokered and non-brokered private placement transactions Prepare and file Reports of Exempt Distribution in applicable jurisdictions File applications and materials with securities commissions and stock exchanges Prepare and coordinate AGM materials, including notices, proxies, and information circulars Manage stock option grants and plan approval filings Prepare and maintain insider reports (SEDI) Process CUSIP and ISIN applications Maintain regulatory calendars, transaction checklists, and closing documentation Liaise with regulators, exchanges, transfer agents, and external service providers QUALIFICATIONS Diploma or Certificate in Legal Assistant and/or Paralegal Studies 5+ years of securities or corporate law experience, preferably in a national or mid-size firm Hands-on experience with TSXV and CSE filings Strong working knowledge of Canadian securities laws and exchange requirements Proficiency with SEDAR+, SEDI, TSXV, and CSE filing systems Exceptional attention to detail, organizational skills, and ability to manage competing deadlines Strong communication skills and a collaborative, team-oriented approach For immediate consideration, please apply to the posting in confidence.
