What youll be doing The Director, Compensation Regulatory Compliance, Regions (outside North America) is accountable for regulatory compliance activities as they relate to compensation. The Director will lead compensation regulatory developments for regions outside North America, contribute to UK Remuneration Committee (RemCo), Luxembourg Board requirements, and Australia requirements, and research, monitor and develop strategies for complying with regulatory requirements in our regions outside North America. The Director determines regulatory requirements across all regions, works with required stakeholders to fulfill obligations, and ensures the RR&P team and/or the HR team are in compliance regarding what needs to be reviewed/approved throughout the year. The Director educates and provides advice and counsel to relevant stakeholders on regulatory developments or requirements. The Director will lead regulatory contributions across the respective Committees, develop strategies for disclosure of key compensation items, and build expertise regarding compensation and disclosure requirements for our key regions outside North America. The Director will monitor regulatory requirements and best practices and may support or provide guidance regarding regulatory requirements to compensation, HR or partners in the business. In addition to advising on specific content, the Director will create content for specific items/decks for each meeting to meet what is required for each Committee or for submission to other Committees or the Board. How youll succeed Committee Work- Contribute to the UK RemCo and Luxembourg Board with input from SEVP, People, Culture and Brand, SVP HR, SVP, Rewards, Recognition and Performance and VP, Executive Compensation and Governance and VP Total Rewards Regulatory Compliance and Mergers and Acquisitions. Build relationships with all required stakeholders across HR and/or the business to meet regulatory requirements and ensure compliance. Provide advice and counsel on interpretation of regulatory requirements and oversight/approval guidelines. Develop materials by researching, analyzing and formulating recommendations on compensation policies, required disclosures and regulatory compliance matters. Manage regulatory, operational and reputational risks to ensure regulatory and legislative requirements are incorporated in compensation policies and processes for jurisdictions outside North America. Compensation- Proactively monitor regulatory trends and updates and recommend enhancements to ensure CIBC maintains and complies with all requirements outside North America. Assume a lead role or co-lead with internal partners across HR globally to meet regulator inquiries and fulfill disclosure obligations. People Management- Support the setting of clear goals and expectations, establish priorities and provide effective managerial direction through coaching, guidance, personal development and input on performance review and evaluation. Who you are You demonstrate experience- In-depth understanding of governance and each Committees mandate, board oversight requirements and approval guidelines. Advanced expertise in design, development and implementation of governance processes related to compensation, including emerging trends. Proven experience in consulting to Board and senior executives. Proven compensation knowledge and experience. Regulatory Requirement experience Extensive knowledge of regulatory requirements as it relates to compensation, governance and disclosure. You demonstrate strong project management Strong project management skills and ability to handle complex and competing priorities and issues to meet deadlines and deliverables. You demonstrate strong communication skills Strong communication, coordination and influence skills to work effectively with key stakeholders both within and outside CIBC. Ability to anticipate issues/questions for annual shareholder meetings or media to prepare responses on behalf of Corporate Communications and senior management.
