Overview Organization & Position Summary We are currently seeking a full-time Senior Corporate Paralegal to join our Corporate Services Department in our Vancouver office. Role and Responsibilities - Assist lawyers with drafting for tax driven transactions including the preparation of legal transaction documents for section 85 rollovers and section 86/51 exchanges, preparation of closing agendas and document lists - Draft detailed reporting letters on completion of transactions and closing books - Prepare corporate documents for such transactions as incorporations and organization of BC, Federal and Society entities, amalgamations, alterations, share allotments, share transfers, redemptions, dividends, name changes, director/officer changes, change of registered and records office and assisting in production of other corporate transactions as applicable - Prepare filings creation and organization documents for limited partnerships - Conduct name BC reservations with BC Registry and Online Services - Conduct Nuans reservations - Maintain MinuteBox database and precedents system including creating new cards for incoming record books - Manage Smartsheet databases for various projects - Record book reviews and drafting deficiency memos - Scan records and establishing virtual record books - Conduct BC Online, Corporations Canada and Land Title searches - Draft routine correspondence with clients, lawyers and department staff - Perform conflict searches - Assist with audit enquiry responses - Send minute books out for registered and records office changes - Annual Maintenance and BC Federal Societies filings - Prepare BC and Federal Transparency Reports - Willingness to research and, if necessary, carry out corporate filings in other Canadian provinces - Liaise with corporate services paralegals with affiliated LAW law firms - Mentor and guide junior staff on best practices, file management, and interaction with lawyers and clients - Provide quality control over corporate records, annual maintenance, and statutory filings - Monitor corporate legislative changes and policies and procedures of British Columbia Registrar of Companies - Assist with developing and updating precedents and procedures to enhance efficiency across the team - Other Tasks as required Qualifications - Minimum 5+ years experience as a corporate paralegal, with significant experience leading transactions - Proven ability to work with autonomy, manage competing deadlines, and resolve issues independently - Strong working knowledge of BC and federal corporate statutes, registries, and filing systems - Experienced mentoring or supervising junior staff an asset - Experience with corporate filing requirements in Alberta or Ontario an asset - Strong communication and organizational skills, with the ability to collaborate effectively with lawyers, clients, and colleagues Benefits - Fitness facility on-site with Peloton bikes and treadmills - Extended health and dental coverage including vision - RRSP Matching Program - Employee & Family Assistance Program - Paid sick and personal leave days - Long-term disability insurance - Professional Development Allowance - Social Office Culture - Life insurance - Paid time off Salary The salary range for this position is $85,000 to $125,000 annually; the base pay offered may vary depending on job-related knowledge, skills, experience, and internal and market equity.
