Responsibilities Advise public and private corporations on corporate and securities law matters Assist with capital markets transactions, mergers and acquisitions, and corporate financings Draft and review offering documents, acquisition agreements, listing materials, and corporate disclosure documents Provide guidance on Canadian securities regulation, including National Instruments and stock exchange policies Assist clients with continuous disclosure obligations and regulatory compliance Support the representation of investment funds, advisers, and dealers on transactional and compliance matters Conduct corporate due diligence and assist with transactional documentation Prepare corporate filings, governance documents, and legal opinions Collaborate with lawyers across the firm on complex corporate and regulatory matters Maintain strong client relationships and contribute to business development initiatives Requirements 24 years of experience practicing corporate and securities law at a reputable law firm Experience advising public companies on securities and corporate matters Strong working knowledge of Canadian securities regulations, National Instruments, and stock exchange policies Experience reviewing and drafting offering documents, acquisition agreements, and listing documents Foundational corporate law experience including due diligence, legal research, corporate filings, governance, and transactional documentation Exposure to investment funds, advisers, or dealers on regulatory and transactional matters is an asset Interest or experience in blockchain technologies, cryptocurrencies, and digital assets is considered a benefit Excellent drafting, analytical, and organizational skills Ability to manage files and client relationships with increasing independence Entrepreneurial mindset with a strong commitment to client service and collaboration Compensation Salary range: $150,000 $195,000 , commensurate with experience and qualifications Comprehensive benefits package Opportunity to work on sophisticated corporate and securities matters within a leading Toronto law firm Hybrid schedule with 3 days in office
