Manager, Financial Due Diligence, Transaction Services Location: Toronto, ON Were looking for a Manager, Financial Due Diligence to join our Transaction Services team in Toronto. In this role, youll work closely with clients and cross-functional teams to support M&A transactions through high-quality financial due diligence, analysis, and advisory services. This is a great opportunity for a CPA-designated professional with strong transaction services experience who enjoys working in a fast-paced, client-focused environment and wants to play a key role in complex deals. What Youll Do Lead and coordinate financial due diligence engagements for M&A transactions Provide transaction support and strategic advisory services to clients Analyze information memoranda, business plans, and public company/industry information related to target businesses Review and assess: historical trading performance quality of earnings cash flow working capital net debt capital expenditures forecasts and key assumptions Evaluate financing structures, including agreements, limits, terms, and covenant considerations Identify deal risks, pricing considerations, and other factors that may impact investment decisions Assess potential synergies and post-merger integration considerations Review sale and purchase agreements and financial models to ensure due diligence findings are reflected appropriately Prepare clear, concise reports and present findings to clients and internal stakeholders Mentor, coach, and support junior team members Deliver exceptional client service while managing multiple engagements and deadlines What You Bring CPA or equivalent professional designation 2+ years of Transaction Services experience Strong background in financial due diligence, M&A analysis, and report writing Solid understanding of factors that impact valuation and deal pricing Strong financial statement analysis skills, including knowledge of GAAP and financial reporting principles Experience reviewing target companies and helping shape deal rationale and transaction strategy Ability to identify issues, develop solutions, and support client decision-making Proven experience managing multiple projects and delivering high-quality client work in a deadline-driven environment Strong leadership skills with the ability to coach, develop, and manage junior team members Excellent written and verbal communication skills, including report writing, presentations, and proposal support Strong investigative mindset, analytical ability, and attention to detail
