IMMEDIATE INTERIM OPPORTUNITY Interim Corporate Secretary Reports To: Chief Executive Officer and Board of Directors Duration: 36 Months Location: Virtual 3 days a week Our client, a missiondriven notforprofit organization , is seeking an experienced Interim Corporate Secretary to provide leadership, stability, and governance expertise during a period of transition. This interim mandate will support the Board and Executive team in maintaining strong governance practices while ensuring continuity, compliance, and effective decisionmaking. This assignment is ideally suited to a senior governance professional who can step in quickly, bring objective perspective, and strengthen governance operations while supporting the organization through change and toward its next phase of leadership continuity. Assignment Overview Dually reporting to the Chief Executive Officer and the Board Chair and Board Committees , the Interim Corporate Secretary will be accountable for ensuring the effective operation of the Board, adherence to governance best practices, and compliance with statutory, regulatory, and bylaw requirements. In addition to daytoday corporate secretariat responsibilities, this interim leader will assess governance processes, identify opportunities for improvement, and help position the organization for longterm sustainability and effective board stewardship. Key Responsibilities Board & Committee Governance Serve as primary governance advisor to the Board of Directors, Board Chair, and Executive Leadership. Plan, prepare, and support all Board and Committee meetings, including agendas, briefing materials, resolutions, and accurate meeting minutes. Ensure Board and Committee processes are efficient, wellstructured, and aligned with the organizations mission and strategic priorities. Governance Frameworks & Compliance Ensure compliance with bylaws, applicable legislation, regulatory requirements, and bestpractice governance standards for notforprofit organizations. Review and strengthen governance policies, board charters, committee terms of reference, and decisionmaking frameworks as required. Act as custodian of corporate records, governance documentation, and official resolutions. Advisory Support & Stakeholder Confidence Provide clear, practical guidance to Board members and senior leadership on fiduciary duties, governance risk, and board effectiveness. Support transparent, welldocumented decisionmaking that builds confidence with funders, regulators, members, and external stakeholders. Serve as a trusted, neutral advisor during sensitive or complex governance discussions. Governance Operations & Transition Support Assess current governance processes, tools, and workflows; identify opportunities to improve efficiency, clarity, and effectiveness. Support board onboarding, orientation, and education as required. Where applicable, assist with knowledge transfer, documentation, and preparation for the onboarding of a permanent Corporate Secretary or governance leader. Candidate Profile Experience & Background The ideal interim will bring: Significant experience serving as a Corporate Secretary or senior governance leader , ideally within notforprofit, public sector, or purposedriven organizations. Strong understanding of board governance, fiduciary responsibilities, and regulatory requirements applicable to notforprofit entities. Experience supporting Boards through periods of transition, growth, or organizational change. Capabilities & Attributes Exceptional written and verbal communication skills, with the ability to translate complex governance matters into clear, practical guidance. High degree of professionalism, discretion, and sound judgment. Ability to operate confidently with senior leaders and volunteer boards. Pragmatic, handson approach with the credibility to influence without authority. Assignment Outcomes (36 Months) By the end of the assignment, the Interim Corporate Secretary is expected to deliver: Stable, wellrun Board and Committee operations with clear documentation and processes. Strengthened governance frameworks aligned with best practices and organizational needs. Improved clarity and confidence in governance roles, responsibilities, and decisionmaking. A smooth transition plan supporting continuity beyond the interim period.
