THE OPPORTUNITY Due to a growing pipeline, BOF is seeking an indefinite full-time Senior Legal Counsel to join the Investment Legal team. (This job posting represents an existing vacancy.) In this role, you will report to the Assistant General Counsel and will provide legal support for BOFs infrastructure investment initiatives, ensuring legal compliance, risk management, and successful transaction execution from a legal perspective across the BOF mandate. You will also support negotiation and execution of loan guarantees for the Indigenous Opportunities Financing Program (IOFP), formerly the Aboriginal Loan Guarantee Program, enabling Indigenous equity participation in infrastructure projects. Your potential start date : mid to late May 2026 Your day-to-day Be the in-house lead on transactions, managing external counsel and supporting the Investments team and senior management. Provide high-quality, commercially minded legal advice to internal clients and senior leadership on specific transactions and other matters related to BOFs mandate. Structure, draft, review, and negotiate complex agreements to reflect transaction needs and supports. Build, manage, and maintain effective relationships with transaction partners, external counsel, internal and external stakeholders and translate legal advice into actionable recommendations for senior management. Support the Assistant General Counsel on cross-functional initiatives and complex transactions, as required. Represent BOF in engagements with government officials, private sector partners, and the public, as required. Educate internal teams on legal matters through presentations and consultations. Interpret and apply relevant legislation, regulations, and government directives to ensure BOFs activities are compliant with legal and policy frameworks at all times, including advising staff and senior management where appropriate. Provide legal support for the development and review of internal policies, governance frameworks, and board materials. Identify and assess legal risks associated with BOFs operations and investments and recommend mitigation strategies. Conduct legal research and draft formal legal opinions on matters impacting BOFs mandate. Provide mentorship and guidance to more junior legal counsel. Perform other legal and leadership duties as assigned. WHAT WERE LOOKING FOR Education & experience LL.B. or J.D. and membership in good standing with the Law Society of Ontario. Minimum of seven (7) years of progressive legal experience in debt/equity finance, project finance and/or real estate finance transactions, gained in-house or in private practice. Transaction experience in any of Indigenous finance, affordable housing, long-term care, energy, transportation, and municipal/community infrastructure preferred, but not required. Experience advising public sector entities, Crown agencies, or government-backed investment programs preferred, but not required. Knowledge & skills Excellent communication and negotiation skills, with a talent for translating legal concepts for diverse audiences. Strong interpersonal skills to foster a learning culture, support skill development in team members, and model best practices in legal reasoning and client service. Demonstrated ability to drive change, manage competing priorities, and thrive in a fast-paced environment. Proven ability to manage complex transactions and provide strategic legal advice in a public sector or high-profile environment. Demonstrated ability to work under pressure, pivot rapidly, and manage competing priorities in a dynamic environment. The expected salary for this role is CA$176,400 for candidates who meet the stated qualifications, with the potential for up to CA$183,600 if experience and qualifications exceed the requirements AND would provide significant additional value to the role.
