With a collaborative culture, operational excellence, and a forward-thinking approach, this is an outstanding opportunity to join a highly respected organization.Reporting to the Chief Executive Officer, the Corporate/Real Estate Counsel will provide legal expertise and services to support multiple business units. This is a broad, business-facing role advises and provides legal counsel on corporate, commercial, and real estate matters, supporting both single-family and multi-family residential development.Key ResponsibilitiesConstruction & Commercial ContractingDraft and negotiate construction contracts (including CCDC agreements), consultant agreements, trade and supplier contracts, and non-standard commercial agreementsPrepare term sheets and draft and negotiate development management agreementsFinancing & Internal TransactionsSupport project-level and corporate financings, refinancings, amendments, intercompany arrangements, internal loans, promissory notes, and distributionsCorporate & GovernanceAssist with entity formation, limited partnerships, restructurings, partner buy-outs, management agreements, and ongoing corporate governanceLand & DevelopmentSupport land acquisitions, dispositions, and development-related agreementsOversee legal aspects of builder lot sales and transfersResidential Sales & ClosingsLead legal support for single-family and multi-family sales, including purchase agreements, amendments, closing issues, and post-closing mattersMulti-Family & Condominium ProjectsAdvise on multi-family developments from pre-sales through to completion and turnover, including purchase agreements, disclosure documentation, and project launchesHomeowner, Warranty & Risk ManagementAdvise on homeowner and warranty issues and manage disputes prior to litigationOversee litigation and claims with external counsel where requiredEmployment, Privacy & ComplianceSupport compliance with privacy laws and FINTRAC requirementsAssist with employment-related legal mattersExternal Counsel & Legal OperationsManage external counsel and oversee legal workflows and support resourcesMonitor legislative changes impacting the industrySupport other legal and business matters as requiredDesired Qualifications47 years of experience in corporate/commercial law with meaningful exposure to residential real estate development, conveyancing, and financingLL.B. or J.D. from an accredited law schoolMember in good standing with the Law Society of AlbertaSignificant experience with contract negotiation and draftingComfort with diverse types of corporate structures and organizational agreements, primarily corporations and limited partnershipsStrong business acumen and understanding of corporate and operational functionsAdvanced analytical, problem-solving, and decision-making capabilitiesStrong relationship-building skills and ability to work with a broad range of personalitiesAbility to manage competing priorities and multiple projects with tight deadlinesSelf-starter with the ability to work independentlyProven ability to provide pragmatic, commercially aligned legal adviceCompensation & BenefitsCompetitive base salaryLucrative annual bonus4 weeks vacation, plus 5 flex daysComprehensive benefits package including health, dental, and visionRRSP matching (3% after one year of employment)Self-development allowance ($750 after one year of employment)Parking spot or parking allowance (depending on availability)Cell phone allowanceWorking ConditionsTraditional core office hours are Monday to Friday, 8:00 am to 5:00 pm.
