Our ClientOur client is the private equity arm of a large global asset manager.Key ResponsibilitiesManage corporate records, including minute books and entity databases; Track and document flow of funds, including capital contributions, dividends, return of capital distribution, transfer of interest, ownership changes, and governance updates;Draft and review resolutions and legal documents supporting transactions, financings, and restructurings;Assist with entity formation of entities and dissolution processes;Liaise with internal teams, legal counsel, and external advisors;Coordinate annual filings, corporate searches, and registrations (Canada and U.S.);Support banking setup, including KYC and account opening requirements; andAssist with ongoing compliance, reporting, and regulatory filings.QualificationsDiploma from a recognized Ontario Law Clerk program (Institute of Law Clerks of Ontario certified) or equivalent legal experience with a strong performance record;5-7+ years of corporate law clerk experience; andExperience with Canadian federal and provincial corporate registry filings and searches, as well as U.S. Secretary of State entity filings and searches.
