Senior Counsel, Corporate & Securities Replacement: This position is open due to an existing vacancy to support our evolving business needs. We are looking for a Senior Counsel, Corporate & Securities to join our General Counsels Office with a focus on continuous disclosure and other public company matters. This is a diverse and challenging role that offers the opportunity to work with stakeholders across the organization on a wide variety of legal matters. The position will be based at our global headquarters at 19 Duncan Street in Toronto. About the Role Your key responsibilities will be: Public Company Matters Oversee compliance with applicable Canadian, U.S. and global securities and stock exchange requirements, including oversight of filings (SEDI, Sedar, Edgar, TMX Linx, etc.). Draft and coordinate continuous disclosure filings as well as prospectuses and registration statements. Assist with planning and organization of annual meeting of shareholders. Investor Relations/Corporate Affairs Assist with earnings releases and other news releases. Review investor communications, including presentations and other materials. Corporate Governance Assist with preparation of board of directors and related committee materials. Draft and revise corporate policies and procedures to ensure legal and regulatory compliance. Treasury/Finance Assist with legal aspects of public debt offerings and redemptions, banking/credit facility matters, share buyback programs and other treasury matters. HR/Benefits Draft and provide other legal support for incentive/equity compensation plans and agreements. Tax Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements and corporate housekeeping matters. Other Provide proactive, practical and timely legal advice and assistance to various business units and corporate functions, including finance, treasury, tax, investor relations, communications, government affairs & ESG and human resources. Help with General Counsels Office special projects and initiatives; manage outside counsel involved in certain transactions and projects; other duties as assigned. About You You''re a fit for the role if your background includes: Qualified to practice law in Canada and in good standing; membership in an applicable provincial law society or bar association. Minimum 5 years of relevant legal experience, including practice at a top-tier law firm. Previous in-house experience is an asset, but not required. Strong knowledge of Canadian corporate and securities laws, rules and regulations. Excellent communications, project management and organizational skills and attention to detail. Ability to work independently and collaboratively with business and legal personnel at all levels of the organization. Ability to think strategically and creatively, to identify and resolve legal issues. Ability to positively influence behavior of multiple stakeholders, as well as to successfully balance the interests of the customer with maintaining a good legal, fiscal and compliance position for the company. Ability to work across boundaries as part of a global team. Ability to manage multiple projects with competing deadlines and demands. Thomson Reuters complies with local laws that require upfront disclosure of the expected pay range for a position. The base compensation range varies across locations. For Ontario, Canada, the base compensation range for this role is $126,000 CAD $176,000 CAD. Base pay is positioned within the range based on several factors including an individuals knowledge, skills and experience with consideration given to internal equity. Base pay is one part of a comprehensive Total Reward program which also includes flexible and supportive benefits and other wellbeing programs. This role may also be eligible for an Annual Bonus based on a combination of enterprise and individual performance.
