Millennium EMS Solutions Ltd. (MEMS) is seeking a Corporate Paralegal & Compliance Lead to serve as a trusted enterprise advisor and delegated authority for corporate governance, contract risk, compliance, and legal operations. This is a senior, highly autonomous role suited to an experienced governance and legal professional who brings sound judgment, discretion, and the confidence to operate independently in a complex, regulated environment. The role supports executive leadership and the Board and plays a critical part in ensuring MEMS legal, contractual, and compliance frameworks are defensible, scalable, and aligned to growth. The Opportunity Reporting to the VP Finance & Legal, the Corporate Paralegal & Compliance Lead acts as MEMS primary internal authority (pre-counsel) on corporate governance administration, ESOP management, contract governance, privacy compliance, and insurance coordination. This role operates with a high degree of professional judgment, regularly engaging with Executive Leadership, Board Members, external counsel, brokers, and regulators. The incumbent will help mature MEMS enterprise legal and compliance operating model while enabling informed, timely business decision-making. Key Accountabilities Corporate Governance & Board Support Lead endtoend administration of corporate governance processes, including Board and Committee meetings, agendas, minutes, resolutions, and action tracking. Administer employee share and option plans, including complex vesting, exercises, redemptions, and reporting implications. Act as the internal subjectmatter expert on ESOP governance, partnering closely with Finance and ERG on tax treatment, controls, and reporting. Oversee corporate registries, subsidiary maintenance, annual filings, and jurisdictional compliance. Support shareholder communications and regulatory disclosures with a high degree of accuracy, confidentiality, and judgment. Perform advanced corporate secretarial functions, with a defined succession pathway into a designated Corporate Secretary role. Contract Governance & Commercial Risk Own and continuously improve MEMS contract governance framework, including templates, approval authorities, playbooks, and lifecycle controls. Lead complex contract review, drafting, negotiation support, and risk assessment for client, contractor, and strategic agreements. Establish and maintain enterprisewide contract registers, renewal controls, obligation tracking, and compliance documentation. Advise project leaders and managers on contract risk, obligations, flowthrough conditions, and dispute mitigation. Serve as a senior internal legal and compliance resource for governance, privacy, and commercial matters prior to escalation to external counsel. Coordinate external legal counsel for complex negotiations, disputes, litigation, or regulatory matters. Lead operational implementation of privacy compliance programs, including policy maintenance and access request management. Conduct advanced legal and regulatory research and deliver executivelevel risk analysis and summaries. Lead coordination of corporate insurance programs, including D&O, professional liability, and general liability. Manage renewals, broker relationships, coverage analysis, and claims coordination. Act as MEMS internal lead during insurance events or investigations, ensuring auditready documentation and appropriate escalation. What You Bring 12-15+ years of progressively senior experience in corporate governance, compliance, and commercial contracting within a complex or regulated organization. Formal paralegal credential or equivalent combination of education and experience. Demonstrated experience supporting Boards, Committees, subsidiaries, and enterprise governance structures. Proven ability to independently manage complex, sensitive legal and compliance matters with minimal supervision. Advanced executivelevel written and verbal communication skills. Strong business acumen and ability to balance legal risk with commercial realities. Registration with AAPP strongly preferred. Governance Professionals of Canada registration or active pursuit considered an asset. Familiarity with TSX systems, corporate registries, SEDAR, or equivalent platforms is an asset.
