Company DescriptionMarimaca Copper is a Canadian exploration company dedicated to identifying and developing new copper resources to meet growing global demand. The companys flagship Marimaca Project, located in northern Chile, is recognized as one of the most significant copper oxide discoveries in the past decade. Marimaca Copper is publicly traded on the TSX under the symbol MARI and on the ASX under the symbol MC2.Position OverviewThe Corporate Secretary will support the Board and executive team, ensuring compliance with Canadian securities laws and TSX requirements, and overseeing the Companys corporate governance and disclosure practices. Canadian-based, with occasional travel required. Key ResponsibilitiesAct as Secretary to the Board and committees, including preparation of materials, minutes, and resolutionsOversee continuous disclosure obligations, including SEDAR+ filings (financials, MD&A, AIF, circulars)Ensure compliance with TSX requirements, securities laws, and applicable corporate statutesAdminister insider reporting (SEDI), blackout periods, and governance policiesMaintain corporate records and minute books for the parent and subsidiariesCoordinate Board, committee, and shareholder meetings, including the AGMSupport financings, M&A, and other corporate transactions from a governance and documentation perspectiveLiaise with external counsel, auditors, and regulatorsAssist with equity plan administration (options, RSUs/PSUs)Coordinate governance matters relating to Chilean subsidiaries with local counselOccasional travel will be requiredQualifications & ExperienceRelevant experience with a TSX-listed public companyStrong knowledge of Canadian securities laws, continuous disclosure, and TSX requirementsExperience with SEDAR+ and SEDI filingsMining or natural resources experience strongly preferredLaw degree or governance designation (CGI/ICSA) is an asset
