Company Description Marimaca Copper is a Canadian exploration company dedicated to identifying and developing new copper resources to meet growing global demand. The companys flagship Marimaca Project, located in northern Chile, is recognized as one of the most significant copper oxide discoveries in the past decade. Marimaca Copper is publicly traded on the TSX under the symbol MARI and on the ASX under the symbol MC2. Position Overview The Corporate Secretary will support the Board and executive team, ensuring compliance with Canadian securities laws and TSX requirements, and overseeing the Companys corporate governance and disclosure practices. Canadian-based, with occasional travel required. Key Responsibilities - Act as Secretary to the Board and committees, including preparation of materials, minutes, and resolutions - Oversee continuous disclosure obligations, including SEDAR+ filings (financials, MD&A, AIF, circulars) - Ensure compliance with TSX requirements, securities laws, and applicable corporate statutes - Administer insider reporting (SEDI), blackout periods, and governance policies - Maintain corporate records and minute books for the parent and subsidiaries - Coordinate Board, committee, and shareholder meetings, including the AGM - Support financings, M&A, and other corporate transactions from a governance and documentation perspective - Liaise with external counsel, auditors, and regulators - Assist with equity plan administration (options, RSUs/PSUs) - Coordinate governance matters relating to Chilean subsidiaries with local counsel - Occasional travel will be required Qualifications & Experience - Relevant experience with a TSX-listed public company - Strong knowledge of Canadian securities laws, continuous disclosure, and TSX requirements - Experience with SEDAR+ and SEDI filings - Mining or natural resources experience strongly preferred - Law degree or governance designation (CGI/ICSA) is an asset
