Job Summary:We are seeking an experienced and detail-oriented Legal & Compliance Associate to lead our legal, regulatory, and secretarial compliance efforts across India and the United States. This role requires strong expertise in corporate law, regulatory compliance, and contract management, along with working knowledge of industry-specific frameworks such as TRAI. The ideal candidate will work closely with leadership, external counsel, and internal departments to manage risk, support business operations, and ensure compliance with applicable laws.Key Responsibilities:Legal and Regulatory Compliance (India & USA):Ensure the company complies with all applicable laws and regulatory requirements in both India and the USA.Keep abreast of changes in corporate, labor, data privacy, and commercial laws across both jurisdictions.Prepare, review, and file regulatory documents and returns with authorities such as MCA (India), ROC, Secretary of State (USA), and other regulatory bodies.Manage relationships with external legal advisors and consultants.Secretarial Compliance & Corporate Governance:Collaborate with the Company Secretary to manage statutory filings, maintain company registers, and ensure governance standards.Assist in preparing agendas, notices, resolutions, and minutes for Board and General Meetings.Support company restructuring, equity transactions, share allotments, and other corporate actions.Ensure alignment with internal policies and support audits and due diligence processes.Contract Management:Draft, review, and negotiate a wide range of legal agreements including sales contracts, vendor agreements, NDAs, partnership agreements, and employment contracts.Ensure all contracts comply with legal standards and company policy, and protect the organization’s legal and commercial interests.Maintain a centralized repository for contract storage and tracking of key obligations, renewal dates, and risks.Partner with sales, procurement, HR, and operations teams to standardize contract processes and provide legal guidance.Employment Law & HR Legal Support:Review and vet employment contracts, consultancy agreements, termination letters, and HR policies to ensure labor law compliance.Provide legal support in handling employment disputes, disciplinary matters, and compliance with statutory employee benefits and entitlements.Advise on HR practices to reduce legal risks and improve documentation.TRAI Compliance & Policy Development:Ensure the company’s communication practices follow TRAI regulations (India), especially in areas related to telemarketing, SMS communication, consent management, and data protection.Develop and update internal compliance policies and train relevant teams on requirements.Work with cross-functional teams to enforce compliance protocols in customer-facing communication platforms.Cross-Functional Legal Advisory:Provide legal counsel across departments including marketing, technology, HR, finance, and customer success.Support commercial initiatives with legal risk assessment and advisory on applicable laws and frameworks.Conduct internal legal training sessions and awareness programs.Qualifications and Experience:Bachelor’s degree in Law (LL.B); additional qualification like CS (Company Secretary) or LL.M is preferred.Minimum 5–8 years of experience in corporate legal, compliance, and contract management roles.Strong knowledge of Indian and U.S. legal systems, especially corporate, labor, and commercial laws.Proven experience handling TRAI compliance is a plus.Exposure to global or cross-border legal environments is highly desirable.Key Skills:Legal Drafting & Contract NegotiationRegulatory Compliance (India & USA)Corporate GovernanceSecretarial PracticesEmployment Law AdvisoryTRAI Policy DevelopmentCommunication & Stakeholder ManagementAttention to Detail & Risk Management
