We have been expanding rapidly and have also served more than 10M+ happy customers.Position Overview: We are looking for a qualified Company Secretary (CS) with 4–5 years of post-qualification experience (PQE), preferably in organizations backed by private equity investors. The ideal candidate will be responsible for ensuring robust compliance under the Companies Act, 2013, Foreign Direct Investment (FDI) regulations, Overseas Direct Investment (ODI) rules, and other applicable secretarial and regulatory frameworks.Key Responsibilities: Ensure full compliance with the Companies Act, 2013, FEMA regulations, and other applicable corporate laws. Manage Board meetings, General meetings, Committee meetings – including drafting agendas, notices, minutes, and resolutions. Liaise with internal stakeholders, investors, auditors, and regulatory authorities (MCA, RBI, etc.). Handle secretarial compliance related to private equity investments including share issuances, share transfers, investor rights, and reporting. Manage FDI compliances such as filing FC-GPR, FC-TRS, and other forms with RBI via FIRMS portal. Handle ODI transactions and filings, including annual performance reports (APRs) and other compliance requirements. Maintain and update statutory registers, corporate records, and compliance trackers. Assist with regulatory audits, due diligence exercises, and corporate governance initiatives. Stay updated on changes in corporate, FDI, and secretarial laws, and advise the management accordingly.Qualifications and Experience: Qualified Company Secretary (ACS). 4–5 years of post-qualification experience, preferably with companies that have private equity/venture capital investors. Strong working knowledge of Companies Act, FEMA (FDI/ODI regulations), and SEBI regulations (if applicable). Excellent communication skills, both written and verbal. High level of ownership, attention to detail, and ability to manage multiple stakeholders. Experience in fast-paced and growth-oriented environments will be an advantage.
