JD – Company Secretary for Okhla, New Delhi Location Job Title:Company Secretary Location:Okhla, New Delhi Working Days:6 Days (Monday – Saturday Experience:2–5 Years Qualification:CS Qualified Gender Preference:Female CTC Budget : Up to 60,000/- pm Joining:Immediate Joiners will be highly preferred Job Summary: We are seeking a qualified and experiencedCompany Secretaryto manage legal compliance, corporate governance, board matters, and regulatory affairs for our mobile phone company. The ideal candidate should have a strong grasp of Companies Act, SEBI regulations, FEMA, and ROC compliances, along with experience in a fast-paced tech or manufacturing environment. Key Responsibilities Ensure compliance with Companies Act, 2013, SEBI regulations, FEMA, and other corporate laws. Handle Board Meetings, AGM, and General Meetings: preparation of agendas, minutes, and resolutions. Maintain statutory registers, records, and filings (ROC, MCA, etc.) Liaise with regulatory authorities such as ROC, SEBI, RBI, and other stakeholders. Draft and vet legal documents, MOUs, NDAs, shareholder agreements, and company policies. Ensure timely filing of annual returns, financial statements, and secretarial audit reports. Support corporate restructuring, mergers, acquisitions, and due diligence processes. Advise the management on compliance risks, governance policies, and changes in legislation. Coordinate with auditors, consultants, and legal advisors. Requirements Qualified Company Secretary (CS) from ICSI; LLB preferred. Minimum 5 years of relevant experience, preferably in a tech/electronics/manufacturing company. Sound knowledge of corporate laws, securities laws, and industrial regulations. Strong written and verbal communication skills. Ability to handle confidential information with integrity. Proficiency in MS Office and legal compliance software/tools. Preferred Skills Experience in a mobile phone or consumer electronics company Familiarity with import/export compliance and BIS regulations Exposure to IPO readiness, investor relations, or ESG compliance High attention to detail and ability to manage multiple stakeholdersRegards, Leed HR Services Recruiter.leedhrs@
