Job Title: Company SecretaryLocation: GurugramExperience: 8-10 years post-qualification experience, with 4-5 years in SEBI LODR compliance in a listed company with a minimum ₹2500 Cr market capEducation: CS qualified is mandatory. CA/CWA/MBA/LLB from reputed institutions is a plus.Job PurposeTo assist in ensuring compliance with laws, rules, and regulations applicable to the listed entity, its subsidiaries, and group companies.Mandatory Functional Skills:In-depth knowledge of:- Companies Act, 2013 - SEBI LODR (Listing Obligations & Disclosure Requirements) - Other SEBI regulations applicable to listed entitiesKey Responsibilities & Deliverables:1. Board & Shareholder Meetings- Organizing Board Meetings, Committee Meetings, AGM/EGM, and Postal Ballots. - Ensure smooth conduct and documentation of these meetings.2. ROC (Registrar of Companies) Filings- Timely and accurate filing of various statutory forms and records for group companies. - Maintenance of statutory registers and records.3. SEBI LODR Compliances (for Listed Entities)- Expertise in Related Party Transactions (RPT) compliance. - Managing and updating the RPT Module, including: - Master data of Related Parties - Timely approvals, renewals, and reporting to the Audit Committee/Board. - Monthly MIS (Management Information System) of RPTs4. Secretarial Audit- Coordinating with auditors for smooth quarterly secretarial audits. - Addressing audit observations and ensuring compliance.5. Statutory Audit Support- Assisting in statutory audit by providing necessary documents and resolving queries.6. Bank Guarantee Management- Handling issuance, renewal, and cancellation of bank guarantees in a timely manner.7. Compliance Management Tool- Ensuring timely collection and uploading of compliance certifications from departments. - Coordinating with stakeholders to ensure the tool is updated and functioning properly.8. Miscellaneous Tasks- Any additional assignments from reporting manager/supervisor.
