Role Overview:The Governance Manager will be responsible for strengthening and institutionalizing governance practices within the family office and associated trusts. The role involves facilitating the operations of the Family Council, Family Business Council, Board of Trustees, and other governance committees. The incumbent will ensure structured communication, compliance, and documentation that aligns with the family’s values, legacy, and long-term vision.Key Responsibilities:Governance Facilitation & OversightCoordinate and facilitate meetings of the Family Council, Family Business Council, Board of Trustees, and related committeesDraft and manage governance documentation including agendas, resolutions, minutes, and action trackersSupport the implementation and periodic review of the Family Constitution, trust deeds, and governance protocolsMaintain an updated repository of all key governance and legal documents related to family entities and trustsCompliance & DocumentationEnsure timely compliance with legal, regulatory, and trust-related requirements under applicable Indian lawsCoordinate with external legal, audit, and tax advisors for statutory filings, registrations, and compliance mattersMaintain records and communication channels in a secure and confidential mannerFamily Governance ImplementationAssist in onboarding and engagement of next-generation family members into governance roles and processesHelp document succession planning, ownership structures, and intergenerational frameworksMonitor adherence to governance standards and report deviations or risks to the Board of TrusteesStakeholder Communication & CoordinationServe as the central point of contact for internal family stakeholders and external advisors on governance-related mattersEnable effective and timely communication among family members, committees, and professional service providersSupport education, training, or orientation programs related to governance awareness within the familyQualifications & Experience:Company Secretary (CS) preferred; candidates with LLB or CA and strong governance exposure may also applyMinimum 7–10 years of relevant experience in governance, trust/family business advisory, or legal/compliance rolesExperience working with family businesses, private offices, or multi-generational business structures will be an advantageStrong working knowledge of Indian trust law, company law, and succession frameworksKey Skills & Attributes:Strong governance acumen and understanding of family enterprise dynamicsExcellent written and verbal communication; skilled in documentation and facilitationHigh level of discretion, confidentiality, and interpersonal sensitivitySelf-driven, organized, and able to work independently while aligning with family valuesAbility to handle multiple responsibilities across entities and trusts
