Job Title: Senior Associate – Corporate Affairs & CompliancesExperience Required: 10+ yearsPosition Type: Full-Time About the RoleWe are looking for a highly experienced and motivated Senior Associate to join our Corporate & Securities Law Advisory team. The candidate will play a critical role in advising listed companies and other corporate clients on a wide range of regulatory, compliance, and governance matters. This role is ideal for professionals who have worked in Practicing Company Secretary (PCS) firms, law firms, or listed entities, and who possess a deep understanding of securities laws and corporate regulations. Key ResponsibilitiesAdvise listed clients on compliance with:SEBI (LODR) Regulations, 2015SEBI (Prohibition of Insider Trading) Regulations, 2015SEBI (SAST) RegulationsCompanies Act, 2013ESOP and employee benefit regulations etcDraft legal opinions, board resolutions, and compliance notes on complex regulatory matters.Review and support compliance related to corporate governance, quarterly disclosures, related party transactions, and investor communications.Well versed in stock exchange related filings and handling of investor grievancesAssist clients in structuring and implementing ESOP/ESPS/SAR schemes, including drafting scheme documents and handling approvals.Monitor changes in laws and regulations; conduct internal knowledge sessions and updates for the team and clients.Liaise with stock exchanges, SEBI, MCA, and depositories as needed.Support due diligence, corporate restructuring, and capital market transactions, as applicable. Skills & ExperienceMinimum 10 years of relevant experience in corporate and securities law advisory.Strong exposure to listed entity compliances and SEBI regulations.Excellent legal drafting and analytical skills.Proven ability to manage client communications independently and deliver high-quality, time-bound advisory services.Comfortable working in fast-paced, evolving regulatory environments.Preference will be given to candidates with experience in a PCS firm, reputed law firm, or in-house legal/compliance team of a listed company. Educational QualificationsQualified Company Secretary (CS)Bachelor’s Degree in Law (LLB) from a recognized institution will be preferred.
