Role Overview: The Governance Manager will be responsible for strengthening and institutionalizing governance practices within the family office and associated trusts. The role involves facilitating the operations of the Family Council, Family Business Council, Board of Trustees, and other governance committees. The incumbent will ensure structured communication, compliance, and documentation that aligns with the family’s values, legacy, and long-term vision. Key Responsibilities: Governance Facilitation & Oversight Coordinate and facilitate meetings of the Family Council, Family Business Council, Board of Trustees, and related committees Draft and manage governance documentation including agendas, resolutions, minutes, and action trackers Support the implementation and periodic review of the Family Constitution, trust deeds, and governance protocols Maintain an updated repository of all key governance and legal documents related to family entities and trusts Compliance & Documentation Ensure timely compliance with legal, regulatory, and trust-related requirements under applicable Indian laws Coordinate with external legal, audit, and tax advisors for statutory filings, registrations, and compliance matters Maintain records and communication channels in a secure and confidential manner Family Governance Implementation Assist in onboarding and engagement of next-generation family members into governance roles and processes Help document succession planning, ownership structures, and intergenerational frameworks Monitor adherence to governance standards and report deviations or risks to the Board of Trustees Stakeholder Communication & Coordination Serve as the central point of contact for internal family stakeholders and external advisors on governance-related matters Enable effective and timely communication among family members, committees, and professional service providers Support education, training, or orientation programs related to governance awareness within the family Qualifications & Experience: Company Secretary (CS) preferred; candidates with LLB or CA and strong governance exposure may also apply Minimum 7–10 years of relevant experience in governance, trust/family business advisory, or legal/compliance roles Experience working with family businesses, private offices, or multi-generational business structures will be an advantage Strong working knowledge of Indian trust law, company law, and succession frameworks Key Skills & Attributes: Strong governance acumen and understanding of family enterprise dynamics Excellent written and verbal communication; skilled in documentation and facilitation High level of discretion, confidentiality, and interpersonal sensitivity Self-driven, organized, and able to work independently while aligning with family values Ability to handle multiple responsibilities across entities and trusts
