Today 5paisa is a go-to platform for serious traders and investors.Role Overview: We are seeking a dynamic, highly experienced professional to lead the Company Secretarial function at 5paisa. The incumbent will play a pivotal role in strengthening corporate governance, regulatory compliance, membership compliance as a QSB, and Board effectiveness. This position will be instrumental in upholding the company's reputation, ensuring regulatory readiness, and advising on strategic corporate initiatives.Key Responsibilities: 1. Corporate Governance & Board Advisory • Act as the primary advisor to the Board of Directors and its Committees on corporate governance, fiduciary duties, and evolving regulatory requirements. • End-to-end management of Board and Committee meetings: drafting agendas, preparing notices and detailed minutes, ensuring circulation and approvals within defined timelines. • Ensure timely, accurate disclosures and communications with stock exchanges and regulatory bodies in line with SEBI LODR, Companies Act, and QSB-specific guidelines.2. Regulatory Compliance & Secretarial Functions • Ensure ongoing compliance with: o Companies Act, 2013 o SEBI Regulations (LODR, PIT, SAST, ICDR, QSB circulars, etc.) o FEMA and allied regulations o Listing Agreements and Stock Exchange Regulations • Manage all MCA, SEBI, NSE, BSE, and RBI filings within prescribed timelines. • Maintain statutory registers and ensure seamless compliance during audits, inspections, and regulatory reviews. • Act as a custodian for corporate documents, records, and critical legal filings.3. QSB (Qualified Stock Broker) Membership Compliance • Lead all compliance initiatives related to 5paisa’s obligations as a SEBI-designated QSB. • Ensure adherence to enhanced governance norms, cyber security, risk management, financial soundness, and operational compliance requirements applicable to QSBs. • Prepare and file all necessary reports, certifications, and responses under QSB regulations. • Engage proactively with SEBI, stock exchanges, and other regulatory bodies during QSB-specific inspections, audits, and compliance reviews.4.Policy Frameworks & Risk Management • Develop, implement, and periodically review internal policies including: o Code of Conduct o Insider Trading Code o POSH Policy o Whistleblower Policy • Identify governance risks and propose proactive mitigation strategies.5. Leadership & Cross-functional Collaboration • Build, mentor, and lead a high-performing Company Secretary and Compliance team. • Work closely with Legal, Compliance, Finance, Risk, and Business leadership to align governance practices with business growth. • Represent 5paisa in regulatory meetings, industry forums, and conferences.Qualifications and Experience: • Qualified Company Secretary (Member of ICSI) is mandatory. • LLB/LLM qualification or MBA (Finance/Corporate Law) preferred. • Minimum 12–15 years of post-qualification experience, including 5+ years in a listed company, preferably in BFSI, fintech, or NBFC sectors. • Deep experience handling SEBI, NSE, BSE, MCA, and QSB-related compliance obligations. • Proven track record of managing Board processes, strategic corporate governance, and regulatory interface.Skills & Competencies: • Deep technical expertise in company law, securities law, listing regulations, and QSB compliance requirements. • High standards of integrity, ethical conduct, and confidentiality. • Excellent drafting, negotiation, and communication skills. • Ability to think strategically while delivering operational excellence. • Resilience and agility in navigating regulatory complexities in a fast-paced, digital-first environment.What’s in it for You? • Be at the strategic forefront of corporate governance in one of India's leading QSBs. • Influence Board-level decision-making and regulatory positioning. • Work in a high-impact, high-visibility leadership role with long-term career growth opportunities.
