Role: Senior Manager – Company Secretary & Legal Location: Gurgaon Working Model: Hybrid (4 days from Office, 1 day from Home) Shift: 9am-6pmIntroduction: We are seeking an experienced and dynamic Senior Manager – Company Secretary & Legal to lead our corporate governance, legal advisory, and regulatory compliance functions. This senior leadership role demands a strategic thinker with expertise in corporate law, governance frameworks, and regulatory compliance, coupled with strong team leadership skills. The incumbent will be responsible for managing a team, ensuring adherence to statutory requirements, and supporting the clients on India Entry, navigating though the legal, regulatory and compliance landscape, ensure smooth business setup, regulatory adherence, and ongoing corporate governance support for the clients.Some of the things you’ll be doing:Leadership & Team Management: · Grow the business by strengthening client relationships and maintaining a strong market position. ·Regularly track financial and operational performance, making smart decisions that improve results and increase profits. Lead a team of legal professionals, providing guidance and oversight on all legal and company secretarial functions ensuring accurate and timely delivery of services. · Work with leadership to shape and deliver India-entry and expansion strategies for clients. ·Contribute to knowledge development and thought leadership on regulatory updates and trends. ·Promote best practices in corporate governance, ethics, and legal compliance.Corporate Governance: Manage Board, Committee, and Shareholder meetings, ensuring compliance with the Companies Act and other relevant laws. Draft agendas, minutes, and other governance-related documents. Regulatory Compliance: Ensure adherence to Company Law, SEBI, FEMA, RBI and other relevant local laws , and other statutory requirements. Oversee regulatory filings, approvals, and compliance documentation. Legal Advisory: Provide legal advice on corporate structuring, contracts, risk management, and regulatory compliance. Draft and negotiate key legal agreements (e.g., Shareholder Agreements, SPAs, MOUs). Strategic Projects: Lead IPO processes, ESOP scheme development, M&A transactions, and capital restructuring initiatives. Ensure legal documentation and regulatory filings are completed efficiently.What technical skills, experience, and qualifications do you need? Experience: 12–15 years in corporate governance, legal advisory, and regulatory compliance, with 5+ years in a leadership role. Education: Qualified Company Secretary (ICSI) and LL.B. Certifications: IPO and NBFC certifications from ICSI (preferred). Core Skills: Strong leadership and team management. Expertise in corporate governance, statutory compliance, and regulatory filings (SEBI, FEMA, RBI, NBFC). Excellent legal drafting, negotiation, and advisory skills. Deep knowledge of corporate law and risk management. Proactive, solution-oriented approach to legal and compliance issues.Why work with CSC?
