Role Brief : We are looking for creative, dynamic, and self-motivated professionals with a passion for excellence, and to lead in the corporate development and M&A activities in our global finance team. As part of the corporate development and M&A team, this role will focus on supporting and executing the organization’s M&A strategy, working closely with leadership to identify, evaluate, and integrate acquisition targets. The candidate will prioritize developing a robust pipeline of acquisition targets, conducting financial valuations, and leading due diligence processes, successful deal negotiation and closure, and support regulatory/statutory process for post deals, to deliver timely reports and artefacts on M&A and corporate development activities to senior management (incl. the Board). This role will contribute to the broader corporate strategy roadmap, execution, and analysis of market growth. The role will report to the global head of Corporate Development, M&A and IR at Cyient and the preferred location is Hyderabad (Corporate HQ) Roles and Responsibilities: Strategic analysis and research : Support Business Teams in analyzing and qualifying business trends and to enable their decisions on strategic choices/criteria towards build-buy framework M&A Target Identification and Outreach: Build and maintain a network of bankers, consultants, and industry contacts to proactively source M&A and corporate development opportunities that align with growth objectives. Establish and update a qualified list of acquisition targets based on strategic fit, potential synergies, and growth potential. Valuation and Financial Modeling: Own the financial analyses and develop valuation models to assess target businesses, providing thorough justifications and recommendations; support and own deal structuring and financial negotiations, ensuring alignment with strategic goals and shareholder value. Due Diligence and Transaction Management: Lead the end-to-end due diligence process, conduct thorough investigations into target's financial statements, operations etc., including coordination with cross-functional teams (e.g., legal, finance, operations); collaborate with leadership to present findings, to proactively address risks and provide mitigation strategies for deal closures, and support the decision-making process, ensuring smooth transaction closures. Valuation : Assist in/lead on-demand enterprise fair valuations of targets or acquired entities or corporate initiatives including divestments, fund /capital raise initiatives, and any inorganic initiatives to drive strategic growth. Deal execution and closure : Lead deal execution process including successful negotiations with parties, deal documentation processes including supporting post closure regulatory formalities/documentation with extended finance teams. CXO/Board materials: Own/lead delivery of relevant presentations and reports towards M&A and corporate development initiatives including plan, progress, business cases, et al with the senior management of the company Desired Skills & Qualifications: CA/CPA/CFA or similar qualified accountants with prior experience in leading M&A processes including deal structuring and closure Prior hands-on experience in valuation and modelling exercises Background or familiarity in Technology/IT/ITeS/ER&D sectors desirable Prior background or experience with private equity or investment banking sector is favorable At least 6 years of relevant M&A experience; overall professional experience of 10 years minimum.
