Job Description

Position: Assistant Vice President – Transaction Advisory (M&A) Location: Mumbai (on-site) Experience Required: Chartered Accountant (CA) with a minimum of 5 years of post-qualification experience specifically in M&A and Transaction Advisory Services. Role Overview: As AVP – Transaction Advisory, you will play a critical role in executing M&A deals and advisory services. Your experience will directly contribute to supporting clients through complex transactions, providing strategic financial insights, valuations, due diligence coordination, and ensuring robust compliance and effective communication among stakeholders. Key Responsibilities: Sell-Side Advisory: Develop logical management adjustments to EBITDA to enhance sustainable EBITDA. Assist in preparing various information required by due diligence teams, investment banking teams, company teams, and other stakeholders. Conduct high-level research of potential valuation multiples and investors. Oversee information housekeeping, vendor due diligence assistance, and manage virtual data rooms. Create detailed financial models and analyses supporting Information Memorandums (IM). Provide comprehensive support from deal initiation through to post-transaction integration. Conduct strategic reviews of transaction terms, advising on optimal structures and agreements. Develop and validate high-level valuation benchmarks. Assist in investor and stakeholder negotiations, interfacing closely with investment bankers, legal advisors, and financial stakeholders. Capital Markets & IPO Advisory: Drive comprehensive IPO processes, managing end-to-end execution. Engage effectively in negotiations with merchant bankers, legal teams, tax advisors, and regulatory bodies. Facilitate preparation and management of the information required to create the Draft Red Herring Prospectus (DRHP). Facilitate successful statutory audit processes and preparation of restated financial statements required for IPO. Coordinate closely with practicing Company Secretaries and legal teams to ensure all corporate matters comply with regulatory requirements. Guide strategic decision-making to optimize IPO outcomes. Ensure accurate and compliant financial reporting aligned with listing and accounting standards. Prepare presentations required for promoters to clearly understand IPO nuances and post-listing obligations. Oversee market positioning, compliance management, and investor relations strategies. Manage data rooms specifically used for preparing the DRHP. Coordinate with various stakeholders, troubleshoot issues, and facilitate smooth execution of the entire transaction. Buy-Side Advisory: Identify funding options for transactions and assist with providing necessary information to secure financing. Conduct comprehensive research on commercial aspects of target companies. Assist the company team in preparing negotiation points and executive summaries. Support the company team in evaluating the strategic and financial rationale of potential deals. Prepare detailed financial models to assess deal valuation, IRR, payback period, debt metrics, future funding requirements, growth strategies, and synergy potentials. Conduct thorough assessments and due diligence of potential acquisition targets. Coordinate seamlessly with legal, tax, and financial advisors. Structure, review, and negotiate transaction documents and agreements. Evaluate and quantify synergy benefits, payback periods, and integration strategies. Identify transaction red flags, risks, and mitigation strategies. Support the development and execution of growth and integration strategies post-acquisition. Skills & Competencies: Exceptional analytical and financial modeling skills. Proven negotiation and stakeholder management abilities. Strong project management and organizational skills, capable of handling multiple simultaneous transactions. Excellent verbal and written communication skills for internal and external stakeholder engagement. Deep understanding of transaction structures, valuation methodologies, and regulatory compliance. Ability to lead and mentor junior team members effectively. Qualifications: Chartered Accountant with at least 5 years of relevant post-qualification experience. Demonstrated experience specifically in M&A, transaction advisory, capital market transactions, and IPO processes. Prior experience in consultancy, advisory, or a related professional services environment preferred.
