The company provides the full spectrum of highly connected and scalable data centre, colocation and interconnection solutions to meet the critical infrastructure needs of enterprises and digital services companies in India, and brings together enterprises, network service, cloud and IT providers to give customers and partners a key connectivity gateway to Europe, the Middle, East, Africa and Asia.The JV combines the complementary strengths of Jio’s massive digital and connectivity ecosystem in India and tech capabilities with Brookfield, one of the largest owners and operators of critical global infrastructure, and Digital Realty, provider of the world’s largest data centre platform enabling customers with access to over 50 metros across 6 continents.Role Overview: This role involves providing comprehensive support to the Company Secretary team in ensuring effective corporate governance and statutory compliance. The individual will assist with maintaining statutory records, supporting board and committee meeting processes, and ensuring timely filings with regulatory authorities. The role requires coordination across internal teams and external stakeholders, along with attention to detail in managing legal documentation and corporate records. Additionally, the individual will contribute to maintaining compliance for group entities and staying updated on evolving legal and regulatory frameworks.Key Responsibilities : Assistance with Statutory Compliance: o Support in ensuring compliance with the Companies Act, 2013 and other applicable laws o Help in maintaining statutory registers and records (e.g., Register of Members, Directors, Share Transfers, etc.) Ensure compliance with the provisions of the Foreign Exchange Management Act (FEMA).Board and Committee Meeting Support: o Assist in drafting notices, agendas, and minutes of Board Meetings, Annual General Meetings, and Committee Meetings o Coordinate logistics for meetings and follow up on action itemsFiling and Documentation: o Prepare and assist with filing forms and returns with the Ministry of Corporate Affairs (MCA) o Maintain digital and physical records of key documents and resolutionsCorporate Governance: o Support in implementing and monitoring governance policies and procedures o Assist in implementing Compliance Management Tool o Conduct research on legal and regulatory updates and brief the CS and legal teamLiaison and Coordination: o Liaise with internal teams, auditors, legal consultants, and external stakeholders for company secretarial matters o Liaise with joint venture partners on matters related to corporate governance, compliance, and other relevant issues, as and when required. o Coordinate and communicate with NSDL (National Securities Depository Limited) and the Registrar and Transfer Agent (RTA) on a periodic basis for various compliance and operational mattersSupport for Group Companies (if any): o Assist in maintaining compliance for group entities. o Assist in handling secretarial matters across all group entities, ensuring timely and accurate execution of related tasks. o Maintain and regularly update the secretarial compliance tracker for all entities within the group to ensure adherence to statutory requirements.Preferred Candidate profile: o Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) having membership – Mandatory o 1 to 3 years of experience o Strong understanding of corporate laws and secretarial practices o Excellent written and verbal communication skills o Attention to detail and ability to manage confidential information o Proficient in MS Office (Word, Excel, PowerPoint) o Ability to work collaboratively and manage deadlines
