Role Assist in undertaking required compliances such as policies, SOPs, etc from an IPO perspective Assist the Team and co-ordination with different internal and external stakeholders throughout the entire IPO journey. Track regulatory changes on a real time basis, analyse the impact and provide regular updates (Companies Act and SEBI as applicable) Responsible for overall compliance from a company law perspective Provide secretarial support to various teams: business, finance, technology and HR Work closely with the International teams - Finance, Accounting, Legal, Tax etc Assist in conducting board meetings, prepare agenda and notes, minutes and resolutions, extracts. Assist in establishing policies, procedures, and guidelines for compliant secretarial function in all the jurisdictions where Porter operates. Assist in conducting secretarial audit to identify any obstacles or risks associated with the Company from a corporate / business law perspective Overseeing end-to-end compliance with the Companies Act, LLP Act, FEMA, and other applicable regulations and maintaining vigilance over overall compliance Managing statutory registers, filings with ROC/RD/other relevant authorities, and coordinating with other departments to ensure compliance Stakeholder Management, Management of Board, Committees, Shareholder’s Meetings like a listed entity Managing the compliances from SHA and SSA perspective Coordinate with external legal counsels, consultants, domain experts, and auditors as needed to address governance and compliance issues Assist in developing training programs for directors, executives, and employees on corporate governance, compliance, and ethical standards Actively engage in investor relationship management and reporting requirements Manage working relationships with the external consultants, lawyers and regulatory authorities Skill Competence in a broad range of areas such as company law, SEBI, foreign exchange regulations, secretarial standards and governance, and statutory compliances is required; knowledge and experience of corporate and commercial laws, contract management will be an added advantage. Demonstration of solid organizational skills, ability to think strategically, and sound judgment in the analysis of complex issues and deriving conclusions. In depth understanding of corporate laws and regulations, corporate governance principles and industry best practices. Commitment to continuous learning and staying updated on changes in corporate governance regulations and best practices Ability to work independently as well as in a cross-functional environment. Outstanding drafting and communication skills Persona Membership of the ICSI along with a minimum of 6-8 years of relevant experience (with a listed company is preferred). Candidates with a law degree, additional qualifications/ certifications in the legal and regulatory domains will be preferred.
