Job Title: Head – Legal Location: Mumbai Department: Legal & Compliance Reporting to: Group CEO / Board of Directors Role Overview: We are looking for a seasoned legal professional to lead the Legal function across all group companies. The Head – Legal will be responsible for overseeing all legal affairs of the company including regulatory compliance, contracts, litigation, due diligence, and supporting strategic transactions. The ideal candidate must bring deep legal expertise in the financial services domain, especially capital markets, NBFC regulations, and securities law. Key Responsibilities: Legal Advisory & Strategy: Provide sound and practical legal advice to the management on business operations, contracts, disputes, mergers, acquisitions, and partnerships. Regulatory Compliance: Ensure strict adherence to SEBI, NSE, BSE, RBI, IRDA, and other applicable regulations for all group entities including broking, wealth management, NBFC, and asset management businesses. Contracts & Documentation: Draft, review, and negotiate a wide range of legal agreements including vendor contracts, client agreements, confidentiality agreements, investment documents, and partnership MOUs. Litigation & Dispute Resolution: Handle and supervise litigation and arbitration matters including client disputes, employee-related legal issues, and regulatory proceedings. Liaise with external legal counsel and represent the company in legal matters. Corporate Governance: Ensure legal support for board meetings, resolutions, shareholder issues, and corporate governance processes in line with Companies Act, 2013. Risk Management: Identify potential legal risks and implement proactive measures to mitigate them. Conduct periodic legal risk assessments and internal audits. Policy Frameworks: Develop and implement robust legal policies, internal frameworks, and SOPs aligned with current laws and industry best practices. Team Leadership: Manage and mentor the internal legal team and coordinate with compliance and secretarial departments for aligned objectives. Qualifications & Experience: LLB / LLM from a reputed law school 10–18 years of relevant experience with at least 5 years in a leadership role Prior experience in BFSI / Capital Markets / Broking domain is mandatory In-depth knowledge of SEBI, Companies Act, FEMA, RBI and other financial sector laws Strong commercial and regulatory acumen Experience in managing external counsel and multiple stakeholders Skills & Attributes: Strong leadership and interpersonal skills Excellent written and verbal communication High integrity and professional ethics Ability to thrive in a dynamic and regulated environment Strategic thinker with attention to detail
