Vishay Pune, India is currently seeking applicants for a Corporate Contract Attorney What you will be doing: Vishay is seeking a highly skilled Corporate Contract Attorney with a professional background as an Indian Corporate Secretary (CS) to join our dynamic legal team. This role is ideal for a legal professional with strong knowledge of corporate governance, contract negotiation, and international business compliance, particularly within Indian and U.S. corporate frameworks. The ideal candidate will bring a deep understanding of corporate structures, board processes, and contract lifecycle management, and will be well-versed in regulatory environments in India and the U.S. with below responsibilities. Draft, review, and negotiate a wide range of commercial contracts, including vendor, supply and sales agreements, NDAs, licensing, distribution, employment, and cross-border service agreements. Provide legal advice and risk assessments to senior leadership on strategic transactions, compliance issues, and entity structuring. Maintain and oversee legal documentation and corporate records across jurisdictions (especially India and the U.S.). Support corporate governance processes including board meetings, shareholder meetings, and regulatory filings. Monitor legal developments and proactively update internal policies to ensure regulatory compliance. Collaborate with finance, sales, HR, operations, and external counsel to align contract strategy with organizational goals. Manage contract lifecycle, including renewals, terminations, obligations tracking, and performance metrics. Handle regulatory and statutory compliance under Indian laws (Companies Act, SEBI, FEMA) and assist with international legal frameworks as applicable. What you will bring along: LL.B. or LL.M. from a recognized law school in India or abroad. Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). 6+ years of experience in corporate legal or contracts management roles, preferably with multinational exposure. Strong experience in Indian and U.S. corporate and commercial law, with working knowledge of international legal standards. Proven ability to negotiate and draft complex legal documents independently. Excellent written and verbal communication skills in English. Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
