Position : AVP / VP – Company Secretary Department: Risk & Compliance / Company Secretariat Location: Bangalore Reporting to: Sr. VP Company Secretary Position Summary: As a senior member of the Risk & Compliance function, the AVP/VP – Company Secretary will be responsible for overseeing corporate secretarial activities for a portfolio of group companies in India and abroad. The role demands deep expertise in corporate governance, regulatory compliance, IPO readiness and execution , and legal support for strategic transactions. The ideal candidate must have hands-on experience managing IPOs , from planning through to listing, and be capable of advising the board and senior leadership throughout the process. Key Responsibilities: 1. Corporate Governance & Board Support: Manage all Board, Committee, and Shareholder meetings – including scheduling, agenda preparation, documentation, accurate minute-taking, and action tracking. Advise the Board and Senior Management on best practices in governance, compliance, and ethical business conduct. Prepare comprehensive board decks, presentations, and compliance updates for discussion at board and committee meetings. 2. IPO Preparation & Execution (Mandatory Experience): Lead the secretarial and compliance workstreams for IPO preparation and execution. Coordinate with investment bankers, legal advisors, auditors, registrars, and stock exchanges. Ensure timely filing of draft red herring prospectus (DRHP), RHP, and other documentation with SEBI and ROC. Ensure statutory and regulatory readiness for listing, including corporate structuring, pre-IPO capital hygiene, and compliance audits. Establish and monitor internal controls and governance mechanisms to align with listing obligations and SEBI LODR Regulations. Provide ongoing compliance support post-listing (if applicable). 3. Statutory & Regulatory Compliance: Ensure full compliance with Companies Act, 2013, SEBI regulations, FEMA, and all applicable legal frameworks. Maintain statutory registers and ensure timely filings with MCA, SEBI, RBI, and other regulatory bodies. Keep internal corporate databases updated with changes in company structure or governance. 4. Legal & Transactional Support: Support legal due diligence, structuring, documentation, and post-deal compliance for M&A, JVs, investments, and group restructurings (domestic and international). Manage FEMA/RBI-related filings for FDI, ODI, ECB, guarantees, and capital account transactions. 5. Compliance Framework & Risk Management: Design and implement compliance frameworks and internal control mechanisms across entities. Identify compliance gaps and regulatory risks and implement mitigatory action plans. Regularly report compliance status and risk metrics to senior management. 6. Stakeholder & Cross-Functional Coordination: Liaise with legal, finance, tax, investor relations, and external counsel to ensure seamless compliance and governance. Provide required documentation, board resolutions, and certifications for regulatory and transactional purposes. Candidate Profile: Experience: 15+ years of relevant experience, with a strong focus on corporate secretarial responsibilities, IPO execution, and corporate governance. Must have end-to-end IPO experience in a leadership or active execution role, preferably in a listed or soon-to-be-listed entity. Education & Qualifications: Member of the Institute of Company Secretaries of India (ICSI) – Mandatory. Bachelor’s Degree from a recognized university. LLB or equivalent legal qualification is an added advantage. Functional Expertise: In-depth knowledge of the Companies Act, SEBI regulations (including LODR), FEMA, and listing processes. Experience managing IPOs , capital markets transactions, and listed company compliances is essential. Strong exposure to cross-border structuring and regulatory filings.
