Job Description for the role of Manager/Sr. Manager at Alternative Investment Fund – Compliance & Secretarial A reputed Alternative Investment Fund (“Fund”) registered with Securities and Exchange Board of India (“SEBI”), as a category II alternative investment fund, under SEBI (Alternative Investment Funds) Regulations, 2012 and based out of Delhi which has several schemes and makes investments in Real Estate Companies and Fintech Companies is seeking a highly experienced Company Secretary with 5-8 years of relevant post-qualification work experience, preferably with a law degree from a reputed institution, to join Compliance & Secretarial Team. Fund is backed by esteemed global financial institutions as its Contributors, and it has a very vibrant work culture. A. Key Responsibilities Participation in strategic advisory for fund formation, fundraising, investments, exits from portfolio companies and liquidation of the Fund Assist in funds structuring, formation, governance, operations, on-boarding, re-structuring and liquidation of Funds from a compliance standpoint. Assist in advising the internal investment team with respect to compliances of proposed transactions, on-going guidance and assistance to the investment team on open deals & compliance and secretarial issues pertaining to portfolio companies. Assist in advising on regulatory issues relating to Securities Laws, Companies Act, Foreign Exchange Laws and RBI regulations, Prevention of Money Laundering and KYC Regulations. Assist in due diligence of proposed investee companies for investments in them as and when required. Analyze & advise on the structure for the transaction and related documents from a compliance standpoint. Ensure closure of condition precedents in relation to the investments which are secretarial in nature. 2. Investor On-boarding and related actions Assist in Investor Onboarding process, KYC & AML verification, FATCA, negotiation, finalization and execution of Contribution Agreements, side letters, declarations from Investors in cases of foreign investors. Maintaining Contributor Register, issuance of drawdown notices, coordinating with finance team, release of statement of accounts to Contributors. Act as a custodian of Contribution Agreements and other Fund documents executed since the date of constitution of the Fund. Ensuring to circulate Funds documents to contributors as per timeline prescribed by the SEBI and Funds documents. Managing investors’ grievances and complaints in coordination of Participation in compliances and secretarial activities related to the Investment Fund and its Investment Manager 3. Participation in compliances and secretarial activities related to the Investment Fund and its Investment Manager Organizing meetings of the Investment Committee, managing the minutes of the meetings, circulating Funds Documents. Assist in preparing & filing reporting to SEBI, Trustee and Investors as may be required under Regulation, such as PPM Audit, Changes in PPM, Compliance Test Report, Investor Compliant Monitoring and resolutions and various other event-based compliances. Ensuring completion of all actions by other departments for which timeline is prescribed by the regulator and in the Fund Documents. Assisting in managing secretarial compliances of Investment Manager entity which is in the form of a Company. Assisting in reporting to Reserve Bank of India with respect to inbound and outbound investments as prescribed under Foreign Exchange Laws. Keep track on legal developments in various cases going on in relation to the SPVs and/or Fund to ensure SEBI compliance in relation thereto. 4. Participation in compliance and secretarial activities of special purpose vehicles (“SPVs”) managed internally Assisting in organizing board meetings, committee meetings and general meetings shall be conducted as per the prescribed timelines and frequency specified under the Companies Act 2013 read with Secretarial standards issued by the Institute of Company Secretaries of India ('ICSI’) or as per the business requirements of the Company. Assisting in preparing all the documents including notice, agenda along with other requisite documents as per provisions under the Companies Act 2013 read with Secretarial Standards. Assisting in undertaking corporate actions such as capital infusions, redemption, conversion and bonus issuance, split, dividend, coupon payment etc. Coordinate with compliance and the secretarial team of investee companies as guided by Team Lead for ensuring the closures. 5. Implementing, Policies and Procedures established by the Team as approved by GCCO, in the guidance of the Team Lead All the policies and processes established by the department basis regulatory guidelines and internal directions as approved by the Group Chief Compliance Officer must be adhered to in the guidance of the Team Lead. Review and revise the policies and procedures in periodic manner as per the directions of the Team Lead and Investment Team, implement the same post approval of GCCO. B. Requirements – Educational qualifications and prior post qualification work experience Educational Qualifications Qualified Company Secretary (“CS”) with 5-8 years of comprehensive experience, preferably holding a 5 (five)/ 3 (three) years law degree by attending regular classes at a reputed institution. In addition to CS and law degree, in case a candidate holds an undergraduate degree other than above, it must be from a reputed institution. Additional qualifications or certifications related to corporate governance, compliance, or finance or NISM certificate on AIF would be a distinct advantage. 2. Prior Post-Qualification Work Experience Extensive prior experience in managing Secretarial and Compliance Matters of Companies Prior experience of working on AIF Compliance will ensure the gateway to the role. Exceptional drafting, documentation, and analytical skills with acute attention to detail. In depth knowledge of the Companies Act and SEBI AIF Regulations and ability to interpret legal provisions in analytical manner be a must. Strong understanding of risk management related to compliance and governance in the financial sector. C. Soft Skills – Personal & Professional Attributes: The ideal candidate is a highly motivated self-starter who takes ownership of responsibilities and drives results independently, with minimal supervision. Ability to work effectively within a complex matrix reporting structure, building cross-functional relationships and driving collaboration with diverse teams. Outstanding verbal and written communication skills, capable of articulating complex regulatory and governance issues clearly and confidently to stakeholders at all levels, including the Board. Soft-spoken and approachable, yet assertive when required; able to maintain professionalism in high-pressure and sensitive situations. Demonstrate calmness and composure under tight deadlines and high-pressure scenarios, with strong time management and multitasking abilities. Exhibits a proactive approach to identifying governance challenges, offering practical solutions, and anticipating regulatory changes to mitigate risks. Ability to prioritize tasks efficiently, manage multiple deliverables, and maintain high accuracy in a dynamic environment. Adheres to the highest ethical standards, demonstrating confidentiality, discretion, and trustworthiness in handling sensitive information. Work Environment: It will be full-time work from office job at the payroll of Investment Manager entity based out of our corporate office at Delhi.
