Career Summary We are seeking an experienced and dynamic Head CS & Legal to lead and manage the Global Corporate Secretarial function and support in legal activities of the organization, ensuring strict compliance with applicable laws, regulations, corporate governance standards, and supporting complex legal landscapes including public listing, M&A, and other corporate actions. Job Responsibility: Ensure full compliance of all jurisdiction Companies Act, SEBI Regulations, Listing Obligations and Disclosure Requirements (LODR), and other statutory requirements. Responsible for end-to-end IPO process, including due diligence, drafting of offer documents, and coordination with merchant bankers, legal advisors, stock exchanges, SEBI, and other regulators. Organize and manage Board Meetings, AGMs, drafting of minutes and resolutions, and maintenance of statutory registers. Advising the Board and senior management on corporate governance best practices and strategic legal matters. Monitor compliance with secretarial standards and implementation of policies related to ethics and good governance. Core member of various internal committees (Audit, CSR, Risk, etc.) and driving corporate actions like mergers, restructuring, ESOPs, etc. Drafting, vetting, and negotiation of agreements including Master Service Agreements, Statement of Works/Work Orders, Non-Disclosure Agreements, of vendor/customer and any third party, leases, and other critical business documents. Provide legal advisory to HR and Administration teams on employee relations, labor laws, workplace policies, etc. Ensure proper legal due diligence and documentation for business initiatives, expansions, acquisitions, etc. Oversee contract lifecycle management and establish robust contract governance frameworks. Represent the company in legal proceedings and liaise with external legal counsel and regulatory bodies. Lead the Secretarial and legal team members and collaborate across departments to ensure legal compliance in business operations and reporting in the General Counsel. Design and implement effective legal and compliance risk mitigation strategies. Drive awareness and training initiatives on compliance, ethics, and code of conduct. Act as a trusted advisor to the Board, CXOs, and stakeholders on legal and governance matters. Skills & Competencies: An expert in handling global corporate secretarial activities for the group. Proficient with corporate laws, securities laws, SEBI regulations, and IPO processes. Excellent leadership, analytical, negotiation, and communication skills. Strategic thinking with strong attention to detail. High integrity and ethical standards. Prior experience in managing Initial Public Offerings (IPOs) is mandatory. Exposure to working in a listed company or transitioning a company from private to public is a strong advantage. Hands-on experience with regulatory filings, investor relations, and managing corporate disclosures. Education and Essential Experience: A qualified company secretary and a member of the Institute of Company Secretaries of India (ICSI). Must also hold a law degree. 10+ years of prior experience in handling CS, Corporate Governance and various contracts.
