Job Description

Role – Manager Corporate LegalRole OverviewWe are seeking a seasoned Senior Legal Professional – Corporate Legal to lead and drive the legal function for Litmus7. This role requires end-to-end ownership of corporate legal matters, including contract management, litigation oversight, legal frameworks, systems, and process governance. The incumbent will act as a strategic business partner, enabling business growth while ensuring legal compliance, risk mitigation, and operational excellence.The role demands strong hands-on expertise, sound commercial judgment, and the ability to independently manage complex legal matters while collaborating closely with internal stakeholders and external legal partners.Key ResponsibilitiesCorporate & Commercial Contracts- Draft, review, negotiate, and finalize a wide range of commercial agreements including MSAs, SOWs, NDAs, vendor agreements, partnership agreements, licensing agreements, and client contracts. - Establish and manage end-to-end contract lifecycle processes, from intake to execution and renewal. - Define and implement clear SLAs for contract drafting, review, negotiation, and closure, aligned with business priorities. - Ensure contracts adequately address commercial, legal, regulatory, and risk considerations while supporting business objectives.Litigation & Dispute Management- Own and manage litigation and dispute matters across forums - Coordinate and manage relationships with external law firms, counsels, and consultants for effective litigation handling. - Track case progress, costs, risks, and outcomes; provide regular updates to leadership. - Develop strategies for dispute avoidance, early resolution, and risk containment.Legal Frameworks, Systems & Processes- Design, establish, and continuously improve legal frameworks, policies, SOPs, and governance models across the organization. - Set up and manage legal systems/tools for contract management, compliance tracking, litigation management, and document repositories. - Build standardized templates, playbooks, and checklists to drive consistency and efficiency. - Ensure strong documentation, version control, and audit readiness.Compliance & Corporate Governance- Ensure compliance with applicable corporate laws, commercial laws, and regulatory requirements relevant to the business. - Support corporate governance activities including board matters, resolutions, filings, and statutory compliances (as applicable). - Proactively identify legal and compliance risks and recommend mitigation measures.Business Partnering & Advisory- Act as a trusted legal advisor to business leaders, sales, procurement, HR, finance, and delivery teams. - Provide practical, solution-oriented legal advice to enable business growth, deal velocity, and risk-balanced decision-making. - Support strategic initiatives, new business models, partnerships, and market expansion from a legal perspective.Ownership & Leadership- Take complete ownership of the corporate legal function within the organization. - Build credibility as a legal leader who balances risk management with commercial pragmatism. - Drive accountability, responsiveness, and service orientation within the legal function. - Contribute to shaping the organization’s long-term legal strategy aligned with business goals.Key Skills & Competencies- Strong expertise in corporate and commercial law. - Proven experience in MSA and SOW drafting and negotiations. - Solid understanding of litigation management and coordination with external counsels. - Ability to set up legal frameworks, systems, processes, and SLAs from the ground up. - Strong stakeholder management and communication skills. - Commercial acumen with the ability to balance legal risk and business needs. - High ownership mindset with the ability to work independently. - Strong analytical, negotiation, and problem-solving skills.Qualifications- LLB / LLM from a recognized university. - Enrollment with the Bar Council of India is preferred.Ideal Candidate Profile- 10+ years of progressive experience in corporate legal roles, preferably within IT services, technology, or corporate environments. - Experience working closely with business teams in a fast-paced, growth-oriented organization. - Prior experience in setting up or transforming legal functions will be a strong advantage.
