Job Title: Company Secretary (CS)Experience: 3–4 yearsLocation: BangaloreEmployment Type: Full-timeRole OverviewWe are seeking a qualified Company Secretary with 3–4 years of relevant experience to manage the Company’s secretarial, compliance, and governance functions. The role requires strong drafting skills, hands-on experience with statutory filings, effective coordination with external professionals, and the ability to interact with investors and senior stakeholders.Key ResponsibilitiesSecretarial & Compliance- Draft, review, and maintain corporate documents including Board resolutions, shareholders’ resolutions, notices, minutes, agreements, and statutory records. - Ensure timely and accurate statutory filings under the Companies Act, 2013, including filings with the MCA and other regulatory authorities. - Coordinate with external Company Secretaries, legal counsels, auditors, and consultants for filings, certifications, and compliance-related matters. - Maintain and regularly update statutory registers, including the Register of Members, Register of Directors & KMP, Register of Charges, and other secretarial records. - Ensure all secretarial documentation is internally prepared, organised, and audit-ready. - Support capital-related activities such as issue of shares, bonus issues, ESOPs, conversions, and related compliance - Ensure timely compliance with ROC, FEMA, and other regulatory requirements - Draft, review, and maintain Board resolutions, shareholder resolutions, notices, agendas, minutes, and statutory registersBoard & Shareholder Matters- Plan, convene, and coordinate Board Meetings (BM), Committee Meetings, and Extraordinary General Meetings (EGM). - Prepare agendas, notes, presentations, notices, and minutes for meetings. - Ensure proper execution and follow-up of Board and shareholder decisions.Investor & Stakeholder Interaction- Act as a point of contact for investors on governance, compliance, and corporate documentation matters. - Support investor communication by preparing and sharing required corporate records, cap table information, and compliance confirmations. - Assist in transaction-related secretarial support (fundraising, ESOPs, share transfers, etc.), as required.Qualifications & Experience- Qualified Company Secretary (CS) and member of ICSI. - 3–4 years of relevant post-qualification experience in corporate secretarial and compliance roles. - Practical exposure to MCA filings, Board and shareholder processes, and statutory record maintenance.Key Skills & Competencies- Strong drafting and documentation skills. - Sound knowledge of the Companies Act, 2013 and related rules. - Ability to coordinate effectively with external professionals and internal stakeholders. - Good communication skills with the ability to interact professionally with investors and senior management. - High attention to detail, strong organisational skills, and ability to manage multiple deadlines. - Proactive, reliable, and capable of handling confidential information with discretion.Preferred Background- Experience in a startup, growth-stage company, or professional services environment. - Exposure to fundraising, ESOP administration, or investor reporting is an added advantage.
