Legal & Compliance Manager - A leading FMCG Startup - BengaluruJob Summary:A leading FMCG Startup is keen to hire a Legal & Compliance Manager will oversee all legal, audit, and statutory compliance activities for including agreements, factory compliances, Shops & Establishment registrations, vendor and labour compliance, POSH governance, and regulatory filings related to organic food and distribution.The role ensures that the company operates within the legal framework of central and state laws and maintains risk-free operations across corporate, factory, sales, and supply chain functions.About the company:Our client is a leading FMCG Startup that offers a diverse range of high-quality organic products. It has a strong nationwide presence through major e-commerce platforms and retail outlets across India.Location: Bellandur, BengaluruDesignation: Legal & Compliance ManagerReports To: DGM-FinanceRoles & Responsibilities1. Agreement & Contract ManagementDraft, review, negotiate, and maintain:Vendor and supplier agreementsDistributor and super-stockist agreementsMarketing, influencer, service provider, and freelancer contractsEmployment agreements, NDAs, confidentiality clausesLease/renewal agreements for office, warehouse, and factoriesMaintain a central repository of all contracts with renewal alerts.Standardize agreement templates for departments (Sales, HR, Marketing, Quality, Operations).2. FMCG & Organic Food Industry ComplianceEnsure compliance with FSSAI regulations, including:License renewal and modificationArtwork/label approvalsPackaging declarationsVendor/raw material complianceOversee Legal Metrology requirements:MRP declarationPackaging size standardsRetail and wholesale packaging rulesSupport factory with:Pollution Control Board (KSPCB) complianceFire safety NOC and audit documentationFactory license renewal and mandatory registersEnsure all organic certification-related legal requirements are followed (if applicable).3. Shops & Establishments / Statutory ComplianceManage Karnataka Shops & Commercial Establishment Act compliance for the corporate office.Maintain and update statutory registers, notices, and compliance calendars.Ensure compliance with: Minimum WagesBonus ActGratuity ActMaternity Benefit ActSexual Harassment Act (POSH)Contract Labour (CLRA)ESI, PF, Professional TaxEnsure timely filing of monthly, quarterly, and annual statutory returns.4. Vendor, Labour & Third-Party ComplianceVerify compliance of manpower vendors.PF/ESI challansWage registersContract agreementsLicense validityConduct vendor audits and ensure compliance certificates are obtained.Ensure documentation for contract labour as per Factory/CLRA norms.5. HR Legal Support & POSH GovernanceAct as the legal advisor for HR on:Termination, PIP, disciplinary actionsDrafting notices, warnings, letters, and settlementsSupport Internal Committee for POSH:Ensure formation & renewal of ICCoordinate training & awareness programsHandle POSH case documentation with confidentialityMaintain company policies and update them as per legal requirements.6. Internal & External AuditsPrepare for all regulatory, statutory, and process audits:FSSAIFactory & Labour inspector auditsFire safetyFinancial/statutory audits related to complianceCoordinate with auditors (internal/external) and provide all required documents.Lead company-wide compliance audit every quarter and report gaps to management.7.
