Location: MumbaiPractice: General Corporate / TransactionsLevel: Principal AssociateRole OverviewA leading law firm is looking to hire a Principal Associate – General Corporate for its Mumbai office. The role is ideal for a senior associate with strong transactional experience, the ability to run matters independently, and growing exposure to client management and partner support, while remaining hands-on.Key ResponsibilitiesGeneral Corporate & Transactions- Advising clients on General Corporate matters under the Companies Act, 2013 - Drafting, reviewing, and negotiating: Shareholders’ Agreements (SHA), Share Subscription / Share Purchase Agreements (SSA/SPA), Joint Venture Agreements, Business Transfer Agreements, Commercial contracts and strategic arrangements - Leading and supervising corporate due diligence exercises - Managing transactions end-to-end, including: Structuring, Documentation, Negotiations, Closings and post-closing compliancesClient & Matter Management- Acting as a day-to-day point of contact for clients on assigned matters - Independently handling mandates with partner oversight - Providing commercially pragmatic advice aligned with client objectivesTeam Supervision- Supervising and mentoring Senior Associates and Associates - Ensuring quality control, timelines, and efficient matter execution - Reviewing junior team deliverables and guiding execution strategyBusiness Development Support- Supporting Partners on: - Client pitches and proposals - Negotiation strategy and client meetings - Relationship-building initiatives - Assisting in practice development and client retention, without a formal revenue targetCandidate Profile- PQE: Typically 6–9 years (flexible for strong candidates) - Strong experience in General Corporate and transactional work - Prior law firm experience strongly preferred - Ability to run transactions independently and manage multiple matters - Comfortable with client interaction and supervising junior teams - Commercial mindset with strong drafting and negotiation skillsWhy This Role- Senior position with high ownership and visibility - Exposure to complex, high-quality corporate transactions - Opportunity to grow into an Associate Partner track over time - Strong learning curve within a structured, Mumbai-based GC practice
