Job Description: Principal Officer – Broker Dealer (GIFT City)Location: GIFT City, IFSCExperience: 3 – 6 yearsRole OverviewThe Principal Officer (PO) will be responsible for governance, regulatory interface, and end-to-end operational execution for the Company’s Broker-Dealer operations in GIFT City (IFSC). The role ensures ongoing adherence to IFSCA regulations while supporting the growth, scalability, and smooth functioning of the business.The Principal Officer will oversee daily operational activities, act as the primary regulatory point of contact, and ensure that the broker-dealer operates within a robust, compliant, and well-controlled operating framework, balancing regulatory requirements with business objectives.Key Roles and ResponsibilitiesManage overall governance and operational oversight of the broker-dealer entity in GIFT City.Act as the primary point of contact with IFSCA and other relevant regulators, including handling regulatory communications, inspections, and queries.Ensure full and ongoing compliance with IFSCA regulations, applicable brokerage norms, and statutory requirements.Oversee day-to-day banking and financial operations, including:Client money managementRemittancesTrade settlementsReconciliationsOperational risk controlsEnsure effective capital adequacy monitoring and compliance with regulatory capital requirements.Maintain strict segregation of client assets and funds in accordance with regulatory norms.Oversee and ensure effective AML/KYC controls, onboarding processes, and transaction monitoring.Ensure audit readiness at all times, including coordination with internal and external auditors.Ensure timely and accurate statutory filings, regulatory reports, and disclosures.Develop, implement, and maintain strong Standard Operating Procedures (SOPs) across operational and regulatory functions.Coordinate closely with business, product, technology, and operations teams to:Enable new product launchesSupport partner integrationsFacilitate international brokerage and cross-border transaction flowsEstablish and maintain a continuously compliant operating environment that supports business growth while maintaining strong governance and control standards.Qualifications & Preferred SkillsDeep experience in capital markets and brokerage operations, preferably in regulated environments.Strong understanding of brokerage regulations, operational controls, and governance frameworks.Proven ability to manage complex operational processes with high accuracy and discipline.Sound regulatory judgment with the ability to balance business enablement and compliance.Strong stakeholder management skills across regulators, internal teams, and external partners.High standards of integrity, accountability, and operational rigor.Tighten language further for regulatory filings or Board approval
